Disputes/Litigation. In the event of a dispute arising under this agreement that is unable to be resolved quickly during the normal course of business, authorized representatives of the parties shall quickly meet with a view to resolving the problem informally. In the event the parties’ authorized representatives are unable to resolve the problem within a reasonable period of two (2) months after occurrence of the dispute, it shall be brought before the District Court (Tribunal de Grande Instance) of Troyes.
Disputes/Litigation. All disputes in any way relating to, arising under, connected with, or incident to, this Throughput Agreement, and over which the federal courts have subject matter jurisdiction, must be litigated, if at all, exclusively in the United States District Court for the Western District of Texas, Midland-Odessa Division, and, if necessary, the corresponding appellate courts. All disputes in any way relating to, arising under, connected with, or incident to this Throughput Agreement, and over which federal courts do not have subject matter jurisdiction, must be litigated, if at all, exclusively in the courts of the State of Texas, in Midland County, and, if necessary, the corresponding appellate courts.
Disputes/Litigation. This AGREEMENT addresses and resolves certain disputes (“DISPUTES”), as herein defined. The STATE OF NEVADA denies the truthfulness of the claims of the ESP INMATES in these DISPUTES, and DEFENDANTS further deny having engaged in any culpable conduct, with respect to the ESP INMATES’ claims of the DISPUTES.
Disputes/Litigation. 8.1 The Company is not engaged (whether as claimant or defendant or otherwise) in any litigation, or criminal or arbitration proceedings, before any court, tribunal, statutory or governmental body, department, board or agency, and no litigation criminal, or arbitration proceedings are, so far as the Vendors are aware, pending or threatened by, or against, the Company and the Vendors do not know of any facts which are likely to give rise to the same, or which are likely to give rise to proceedings in respect of which the Company would be liable to indemnify any person concerned.
Disputes/Litigation. 8.1 Neither the Company nor the Subsidiary is engaged (whether as claimant or defendant or otherwise) in any litigation, administrative, mediation or criminal or arbitration or other proceedings or hearings, before any court, tribunal, statutory or governmental body, department, board or agency; no notice has been received by the Vendors, the Company or the Subsidiary that any litigation, criminal or arbitration proceedings are pending or, so far as the Vendors are aware, threatened, by, or against, the Company or the Subsidiary; and the Vendors are not aware of any facts which are likely to give rise to the same, or which are likely to give rise to proceedings, in respect of which the Company or the Subsidiary would be liable to indemnify any person concerned.
Disputes/Litigation. 1. The Company is not engaged whether as plaintiff or defendant or otherwise in any litigation, criminal or arbitration proceedings before any Court, tribunal, statutory or Governmental body, department, board or agency.
Disputes/Litigation. 6.1 Party C is not engaged in, nor is there pending, nor to the best of the knowledge of Party C, is Party C threatened or likely to be threatened with, any litigation, arbitration, prosecution or other legal proceedings or in any proceedings or hearings before any statutory or governmental body, department, board or agency.
Disputes/Litigation. 9.1. The Company is not engaged (whether as claimant or defendant or otherwise) in any litigation, or criminal or arbitration proceedings, before any court, tribunal, statutory or governmental body, department, board or agency, and no litigation, criminal or arbitration proceedings are pending or threatened by, or against, the Company and, to the Seller’s Knowledge, there are no facts which are likely to give rise to the same, or which are likely to give rise to proceedings in respect of which the Company would be liable to indemnify any person concerned except the matter currently before the Court of Appeal of Belize arising from the Complaint Order Issued in July 2011 by the Public Utilities Commission of Belize and similar complaints arising from matters with the Public Utilities Commission.
Disputes/Litigation. There are no pending claims against the Companies asserted in writing by any employees/directors or pending litigations between the Companies and their employees/directors, except for those listed in Schedule 2.19 (iv). There are no pending proceedings between the Companies and any of their employees/directors that have not been accounted for through provisions in the accounts, except for those listed in Schedule 2.19 (iv). Since January 2010, neither strike nor work stoppage has taken place within the French Companies. The Companies are not subject to a pending control or investigation procedure or a reassessment procedure which has been notified in writing by the French labour inspectorate or the French social security authorities (“URSSAF”) or similar authority in the Netherlands.
Disputes/Litigation. There are no pending legal or arbitration proceedings or any other amicable or court-based conciliation proceeding or any filing of any kind or any judicial or administrative investigations concerning the Companies, except those listed under Schedule 2.18 and Schedule 2.19 (iv).
