Disputes with respect to Early Termination Payment. If the Defaulting Party disputes the Non-Defaulting Party’s calculation of the Early Termination Payment, in whole or in part, the Defaulting Party shall, within two (2) Business Days of receipt of the Non-Defaulting Party’s calculation of the Early Termination Payment, provide to the Non-Defaulting Party a detailed written explanation of the basis for such dispute; provided, however, that: If the Early Termination Payment is due from the Defaulting Party, and the Supplier is the Defaulting Party, then the Defaulting Party shall first transfer the Completion and Performance Security and cash, if needed, in an amount equal to the Early Termination Payment. If the Early Termination Payment is due from the Defaulting Party and the Buyer is the Defaulting Party, then the Defaulting Party shall transfer cash to the Non-Defaulting Party in an amount equal to the Early Termination Payment. This clause will be applied in accordance with the dispute resolution guidelines set out in Section 12.10.
