Distribution Tax Returns. The filing of all Tax Returns for periods beginning on or after the Distribution Date (other than Non-Combined Returns and Franchise Tax Returns covered by Section 2.1(a)) shall be the responsibility of the Corporation if they relate to the NMR Group or any member thereof and shall be the responsibility of IMS HEALTH if they relate to the IMS HEALTH Group or any member thereof. In the case of any partnership in which a member of the Pre-Distribution Cognizant Group is the designated Tax Matters Partner, such entity shall continue to be responsible for the preparation and filing of such partnership's Tax Returns.

Distribution Tax Returns. Think Finance shall be responsible for preparing and filing any Tax Return relating to Distribution Taxes and shall provide a copy of such Tax Return to Elevate. Think Finance and Elevate agree to cooperate in minimizing the amount of any such Distribution Taxes and in the filing of all necessary documentation and all Tax Returns, reports and forms with respect to all such Distribution Taxes.

  • Distribution Taxes If any Parent Tax Proceeding relating to Distribution Taxes is reasonably likely to give rise to an indemnity obligation of the Acquiror as successor to SpinCo or the JV Group under Section 12 hereof, Acquiror and Parent shall exercise joint control over the disposition of such Parent Tax Proceeding (and, for the avoidance of doubt, shall keep each other informed of all material developments with respect to such Parent Tax Proceeding to the extent the other party is not otherwise informed thereof).
