Distributor Services. From the Effective Date the Distributor will provide the following Services to the Retailer:
(a) Load Management Services (if any) in accordance with Schedule 5;
(b) management of Unplanned Service Interruptions in accordance with Schedule 3; and
(c) disconnection and reconnection Services in accordance with Schedule 4.
Distributor Services. DISTRIBUTOR will provide sales and distribution services and copyright and royalty accounting services.
Distributor Services. To the extent and where permitted by applicable law, the following services (the “Distributor Services”) shall be provided by Liberty Tax and Franchisee, as applicable, at each of its Franchisee Locations, during the Franchisee Locations’ normal business hours:
(a) Franchisee will offer to each of its customers that electronically files his or her tax return with such Franchisee and his or her refund with respect to such return is greater than one dollar ($1.00) a temporary non-personalized NetSpend Card (a “Temporary Card”) onto which (i) a refund anticipation loan or refund transfer from a third party bank or (ii) a tax refund from a state or federal government shall be added or “loaded.” NetSpend Cards issued directly from a Franchisee Location shall be referred to herein as a “Liberty Tax/NetSpend Card.”
(b) Franchisee will also cause its Franchisee Locations to accept requests to add or “load” refund anticipation loans, refund transfers and tax refunds to NetSpend Card accounts, whether such NetSpend Card was purchased at a Franchisee Location or not and whether such NetSpend Card was issued by the Issuing Bank or not (“Card Payments”).
(c) Liberty Tax shall record the full amount of the payment of each Card Payment (collectively, “Customer Payments”) and transmit such information by secure electronic means from Liberty Tax’s corporate office Ó2007 NetSpend Corporation CONFIDENTIAL to NetSpend.
(d) Customer Payments shall be delivered to the Issuing Bank in accordance with Schedule 1 hereto. With respect to the receipt and delivery of Card Payments and other items to the Issuing Bank, Liberty Tax shall act as the agent of the Customer in the capacity of a “messenger service” as defined in 12 CFR § 7.1012, as amended from time to time. With respect to each transaction involving the Distributor Services at a Franchisee Location, Distributor will accurately, completely, properly and promptly record and transmit to NetSpend by secure electronic means (i) the PAN and other Track 2 data encoded on the magnetic stripe of the NetSpend Card, (ii) the full amount of the Card Payment, (iii) the Franchisee Location identifier and (iv) the unique transaction identifier, together with all other Customer Data obtained from the Customers at the Franchisee Locations or otherwise in connection with the Distributor Services, which shall include each Customer’s name, address, telephone number, social security number and date of birth. Distributor Services. The following list of Services may not be comprehensive. The Company may find it necessary to add, change, or delete certain Services as necessitated by Customer requirements. The Company and the Distributor will mutually agree on changes to these Services as necessary. The Distributor will provide the following Services to the Company:
Distributor Services. During the term of this Agreement, Distributor will provide certain services to the Company as described on Exhibit A hereto (the “Services”). Distributor represents that Distributor is duly licensed (as applicable) and has the qualifications, the experience and the ability to properly perform the Services. Distributor shall use Distributor’s best efforts to perform the Services such that the results are satisfactory to the Company.
Distributor Services. 3.1 Propanc appoints ENP to undertake the Distributor Services within the territories of the United Kingdom and Australia for the Term in accordance with the Relevant Legislation.
3.2 ENP will provide the Distributor Services in accordance with the Relevant Legislation and the terms of this Deed. The Relevant Legislation will prevail over the terms of this Deed to the extent of any inconsistency.
3.3 Propanc provides ENP with a non-exclusive licence to the Patent Application and Propanc Confidential Information for use in relation to the Distributor Services and any other use required by the Relevant Legislation during the Term.
3.4 The rights granted pursuant to this Deed and the Distributor Services do not include the right to market the Unlicensed Medicines but only to distribute in accordance with the Relevant Legislation to a Requesting Doctor who has received a bona fide unsolicited order. ENP, the Nominated Manufacturer and each Requesting Doctor shall not market the Unlicensed Medicines in any jurisdiction without the express written consent of Propanc.
3.5 ENP is responsible for appointing the Nominated Manufacturer determined in accordance with Item 7 of the Schedule.
3.6 ENP will have sole responsibility for contracting with the Nominated Manufacturer for the manufacture of the Unlicensed Medicines and ensuring that the Nominated Manufacturer:
(a) meets and complies with the Relevant Legislation;
(b) manufactures the Unlicensed Medicines in accordance with the Relevant Legislation, any other applicable legislation, standards, quality controls for goods of this type;
(c) adheres to the applicable terms of this Deed, including, without limitation, confidentiality requirements in relation to Propanc Confidential Information and in relation to the Patent Application; and
(d) is paid the Manufacturing Fee by ENP at the times agreed to by the Nominated Manufacturer.
3.7 The Distributor Services to be provided by ENP include sole responsibility for supplying the Unlicensed Medicines to the Requesting Doctors and in particular:
(a) ensuring that each Requesting Doctor is appropriately qualified to be supplied the Unlicensed Medicines in accordance with the Relevant Legislation;
(b) seeking Propanc’s consent in relation to the supply of Unlicensed Medicines to any new Requesting Doctor, which consent may include ENP ensuring that the Requesting Doctor executes a ‘Deed of Access’ with Propanc, provided always that ENP shall be entitled to meet the require...
