DISTRIBUTOR SHALL. (i) provide its Authorized Resellers with appropriate supervision and training; (ii) actively monitor the performance by each Authorized Reseller of its agreements with DISTRIBUTOR and enforce each Authorized Reseller's obligations under such agreements; and (iii) use its best efforts to put into place and maintain, and to assist its Authorized Resellers in putting into place and maintaining, effective inventory and retail sale financing programs.
DISTRIBUTOR SHALL a. Preserve at all times the proprietary, intellectual and other legal rights of InkSure in the Products and Documentation as well as the confidentiality of InkSure's trade secrets, including, without limitation, the terms of this Agreement - this duty shall survive the termination of this Agreement and shall remain valid indefinitely. No information shall be considered confidential if it is generally available or becomes known to the public other than through Distributor's breach of the Agreement. b. In all correspondence and other dealings relating directly or indirectly to the licensing or other transactions with respect to the Products, clearly indicate that it is acting as Distributor and not as author or developer of the Products. c. Not incur any liability on behalf of InkSure or in any way pledge or purport to pledge InkSure's credit or purport to make any contract binding upon InkSure, unless specifically authorized in writing by InkSure.

  • The Supplier Service Provider remains liable for its contractual obligations under the Agreement, including all services rendered by the sub-contractor.
