District’s Termination of PM for Cause. If PM fails to perform PM’s duties to District’s satisfaction, or if PM fails to fulfill in a timely and professional manner PM’s material obligations under this Agreement, or if PM violates any of the material terms or provisions of this Agreement, District shall have the right to terminate this Agreement effective immediately upon District giving PM written notice thereof. In the event of a termination pursuant to this subdivision, PM may invoice District for all work performed until the notice of termination, but District shall have the right to withhold payment and deduct any amounts equal to District’s costs because of PM’s actions, errors, or omissions.

  • Termination for Cause If Vendor fails to materially perform pursuant to the terms of this Agreement, TIPS shall provide written notice to Vendor specifying the default. If Vendor does not cure such default within thirty (30) days, TIPS may terminate this Agreement, in whole or in part, for cause. If TIPS terminates this Agreement for cause, and it is later determined that the termination for cause was wrongful, the termination shall automatically be converted to and treated as a termination for convenience.

  • Termination of Contract for Cause 5.1.1 If A-E breaches any of the covenants or conditions of this CONTRACT, COUNTY shall have the right to terminate this CONTRACT upon ten (10) days written notice prior to the effective day of termination.
