Common use of Division of Responsibilities Relating to Services Clause in Contracts

Division of Responsibilities Relating to Services. In providing the Services, the Parties agree that Altruist will undertake only the tasks specifically ascribed to it in Appendix B (Services). All other functions, whether described in Appendix B or otherwise, shall be Advisor’s sole responsibility. To the extent that there is any doubt as to which party shall be responsible for performing a specific task or function, those tasks and functions shall be deemed to be the sole responsibility of Advisor. Advisor certifies that it has performed its Client suitability obligations as described in Section 2.2.(c).
