Common use of Documentation and Information Clause in Contracts

Documentation and Information. The Stockholder consents to and authorizes the publication and disclosure by Parent of (a) the Stockholder’s identity and holding of the Subject Shares, (b) the nature of the Stockholder’s commitments, arrangements and understandings under this Agreement (including, for the avoidance of doubt, the disclosure of this Agreement) and (c) any other information, in each case, that Parent reasonably determines is required to be disclosed by applicable Law in any press release, the Offer Documents, the Proxy Statement (including all schedules and documents filed with the SEC), or any other disclosure document in connection with the Offer, the Merger and any transactions contemplated by the Merger Agreement. The Stockholder agrees to promptly (x) provide Parent with any information Parent may reasonably require for the preparation of any such disclosure documents and (y) notify Parent of any required corrections with respect to any information supplied by the Stockholder specifically for use in any such disclosure document, if and to the extent that any such information shall have become false or misleading in any material respect.

The Stockholder Shareholder (i) consents to and authorizes the publication and disclosure by Parent of (a) the StockholderShareholder’s identity and holding of the Subject Shares, (b) the nature of the StockholderShareholder’s commitments, arrangements and understandings under this Agreement (including, for the avoidance of doubt, the disclosure of this Agreement) and (c) any other information, in each case, that Parent reasonably determines is required to be disclosed by applicable Law in any press release, the Offer Documents, the Company Proxy Statement (including all schedules and documents filed with the SEC), or any other disclosure document in connection with the Offer, the Merger and any transactions contemplated by the Merger Agreement. The Stockholder Agreement and (ii) agrees promptly to promptly (x) provide give to Parent with any information Parent it may reasonably require for the preparation of any such disclosure documents documents. Parent shall provide a copy of any proposed disclosure to the Shareholder prior to filing and (y) the Shareholder agrees to promptly notify Parent of any required corrections with respect to any information supplied by the Stockholder Shareholder specifically for use in any such disclosure document, if and to the extent that any such information shall have become false or misleading in any material respect.

The Stockholder (a) consents to and authorizes the publication and disclosure by Parent and Purchaser of (a) the Stockholder’s identity and holding of the Subject SharesShares and Warrants, (b) the nature of the Stockholder’s commitments, arrangements and understandings under this Agreement (including, for the avoidance of doubt, the disclosure of this Agreement) and (c) any other information, in each case, that Parent reasonably or Purchaser determines based on advice of counsel is required to be disclosed by applicable Law in any press release, the Offer Documents, the Proxy Statement (including all schedules and documents filed with the SEC), or any other disclosure document in connection with the Offer, the Merger and any transactions contemplated by the Merger Agreement. The Stockholder Agreement and (b) agrees to promptly (x) provide give to Parent with and Purchaser any information Parent it may reasonably require for the preparation of any such disclosure documents and (y) documents. Stockholder agrees to promptly notify Parent and Purchaser of any required corrections with respect to any information supplied by the Stockholder specifically for use in any such disclosure document, if and to the extent that any such information shall have become false or misleading in any material respect.

The Stockholder Such Shareholder consents to and hereby authorizes Parent, Sub and the publication Company to publish and disclosure by Parent of (a) the Stockholder’s identity disclose in all documents and holding of the Subject Shares, (b) the nature of the Stockholder’s commitments, arrangements and understandings under this Agreement (including, for the avoidance of doubt, the disclosure of this Agreement) and (c) any other information, in each case, that Parent reasonably determines is required to be disclosed by applicable Law in any press release, the Offer Documents, the Proxy Statement (including all schedules and documents filed with the SEC), SEC or any other Governmental Entity in connection with the Transactions, and any press release or other disclosure document that Parent or Sub reasonably determines to be necessary in connection with the Offer, the Merger and any transactions other Transactions contemplated by the Merger Agreement, such Shareholder’s identity and ownership of the Subject Shares, the existence of this Agreement and the nature of such Shareholder’s commitments and obligations under this Agreement, and such Shareholder acknowledges that Parent and Sub may file this Agreement or a form hereof with the SEC or with any other Governmental Entity. The Stockholder Agreement and (ii) agrees to promptly (x) provide give to Parent with any information Parent it may reasonably require for the preparation of any such disclosure documents and (y) documents. The Shareholder agrees to promptly notify Parent of any required corrections with respect to any information supplied by the Stockholder Shareholder specifically for use in any such disclosure document, if and to the extent that any such information shall have become false or misleading in any material respect.
