Common use of Documentation and Information Clause in Contracts

Documentation and Information. The Stockholder will permit and hereby authorizes Parent to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent reasonably determines to be necessary in connection with the Merger and any transactions contemplated by the Merger Agreement, the Stockholder’s identity and ownership of the Subject Shares and the nature of the Stockholder’s commitments and obligations under this Agreement.

Documentation and Information. The Stockholder will shall permit and hereby authorizes the Company and Parent to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document document, in each case that the Company or Parent reasonably determines to be necessary in connection with the Merger and any transactions contemplated by of the Merger AgreementContemplated Transactions, the StockholderXxxxxxxxxxx’s identity and ownership of the Subject Shares and the nature of the Stockholder’s commitments and obligations under this Agreement. The Company is an intended third-party beneficiary of this Section 1.3.

The Stockholder will shall permit and hereby authorizes Parent and the Company to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Company reasonably determines to be necessary in connection with the Merger and any transactions contemplated by of the Merger Contemplated Transactions, a copy of this Agreement, the Stockholder’s identity and ownership of the Subject Shares and Pre-Funded Warrants and the nature of the Stockholder’s commitments and obligations under this Agreement. Each of Parent and the Company is an intended third-party beneficiary of this Section 7.

The Such Stockholder will shall permit and hereby authorizes Parent and the Purchaser to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or the Purchaser reasonably determines to be necessary in connection with the Offer, the Merger and any transactions contemplated by the Merger Agreement, the such Stockholder’s identity and ownership of the Subject Shares and the nature of the such Stockholder’s commitments and obligations under this AgreementAgreement (provided that any such publication, disclosure, release or disclosure with respect to any matter related to such Stockholder shall be made with respect to all Stockholders).

The Such Stockholder will shall, subject to reasonable prior approval of such Stockholder, permit and hereby authorizes the Parent Parties to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that any Parent Party reasonably determines to be necessary under Applicable Law in connection with the Merger Transaction and any transactions contemplated by the Merger Agreement, the such Stockholder’s identity and ownership of the Subject Shares and the nature of the such Stockholder’s commitments and obligations under this Agreement.

The Such Stockholder will shall permit and hereby authorizes Parent and Purchaser to publish and disclose in all documents and schedules filed with the SEC, and any press release or other disclosure document that Parent or Purchaser reasonably determines to be necessary in connection with the Offer, the Merger and any transactions contemplated by the Merger Agreement, the such Stockholder’s identity and ownership of the Subject Shares and the nature of the such Stockholder’s commitments and obligations under this Agreement. Parent will consult, to the extent practicable, with counsel to such Stockholder concerning the disclosure referred to in the preceding sentence.
