DUE EXECUTION; COUNTERPARTS. The party executing this Agreement represents and warrants that he or she has been duly authorized under its charter documents and applicable law to execute this Agreement on behalf of such party. This Agreement may be executed in counterparts, each of which will be deemed an original, but both of which together will constitute one and the same instrument.
