Licensee is a corporation duly organized, validly existing, and in good standing under the laws of Colorado Licensee have full right, power, and authority to own its properties and assets, and to carry on its business. To the best of Licensee's knowledge, Licensee is duly licensed, qualified and authorized to do business as a foreign corporation, and is in good standing in each jurisdiction in which the properties and assets owned by at or the nature of the business conducted by it makes such licensing, qualification and authorization legally necessary.
