Common use of Duration of Confidentiality Obligations Clause in Contracts

Duration of Confidentiality Obligations. The confidentiality obligations provided for in this Section 13 shall continue in effect for the following periods (the “Confidentiality Period”): (i) with respect to Confidential Information that is not Highly Confidential Information, for a period of five (5) years following either (A) the Effective Date with respect to Confidential Information of the Disclosing Party that is known to or in the possession of the Receiving Party as of the Effective Date or (B) the date of disclosure with respect to Confidential Information that was or will be disclosed by the Disclosing Party to the Receiving Party after the Effective Date but before the expiration of the Disclosure Period (as defined in Subsection 13.1 above); and (ii) with respect to Highly Confidential Information, in perpetuity. The obligations set forth in this Section 13 shall survive any termination of this Agreement.

The confidentiality obligations provided for in this Section 13 Article VI shall continue in effect for the following periods (the "Confidentiality Period"): (iI) with respect to Confidential Information that is not Highly Confidential Information, for a period of five (5) years following either (A) the Effective Separation Date with respect to Confidential Information of the Disclosing Party that is known to or in the possession of the Receiving Party as of the Effective Separation Date or (B) the date of disclosure with respect to Confidential Information that was or will be is disclosed by the Disclosing Party to the Receiving Party after the Effective Separation Date but before the expiration of the Disclosure Period (as defined in Subsection 13.1 6.1 above); and (iiII) with respect to Highly Confidential Information, in perpetuity. The obligations set forth in this Section 13 Article VI shall survive any termination of this Separation Agreement.
