Common use of During Employment Period Clause in Contracts

During Employment Period. During the Employment Period, the Executive shall not, without the Company’s prior written consent, which consent may be withheld in the Company’s sole and reasonable discretion, directly or indirectly, solicit, contact, interfere with, or divert any Customer of the Company (as defined below) or any of its affiliates or subsidiaries for the purpose of selling to those Customers any products or services whatsoever. For the purposes of this Section 18: a “Customer” shall mean any person who has purchased services or products from the Company, its Affiliates or subsidiaries, during any time during the Employment Period or, to the knowledge of the Executive, at any time prior to the Employment Period; and “Affiliates” shall mean entities controlling, controlled by or under common control with the Company.
