Duties and Powers of the Chairperson. If appointed, the Chairperson’s sole power and duty shall be, if present, to preside at meetings of the Members and the Board of Managers, and exercise and perform such other powers and duties as may be from time to time assigned to him by the Board of Managers. Notwithstanding anything to the contrary contained in this Agreement, the Chairperson shall not be an officer of the Company or have any authority to bind the Company unless the Board of Managers specifically provides that the Chairperson is an officer of the Company, with the power to bind the Company.

Receipt of such instructions shall not be a condition to the exercise by the Collateral Agent of its express duties hereunder, except where this Agreement provides that the Collateral Agent is permitted to act only following and in accordance with such instructions.
