Duties; Obligations. The only duties and obligations which the Collateral Agent shall have are those set forth in this Agreement and in the First Mortgage Bond Documents.

Duties; Obligations. 6.1 The Licensee agrees with the Licensor that it will:
a) Not de-pasture more livestock on the Licensed Area than the Licensed Area is capable of carrying from time to time so as to cause destruction of pasture and degradation of the Licensed Area;
b) Provide supplemented feed to the livestock as and when required and as would be considered good grazing practice;
c) Comply with relevant legislation and local laws regarding the keeping of livestock;
d) Comply with all notices issued by a competent authority, requiring any practice to be observed or work to be done on the Licensed Area required as a result of the use of the Licensed Area by Licensee, whether that notice is served on the Licensor or the Licensee;
e) Provide for fencing of the Licensed Area at the Licensee’s cost and at all times repair and maintain those fences on and enclosing the Licensed Area in good stock-proof condition to prevent the escape of livestock from the Licensed Area and, if necessary, engage an expert fencing contractor to fence and undertake such repair and maintenance works;
f) Keep all livestock de-pastured on the Licensed Area free from disease or illness, that all livestock are inoculated prior to being brought on to the Licensed Area, and to ensure that all livestock are kept free from tick infestation;
g) At all times keep the Licensed Area free from noxious weeds, and ensure that no livestock shall be brought on to the Licensed Area if such livestock have grazed in areas where either Giant Rats Tail Grass or Parthenium Weed are or were present;
h) Not cut or remove from the Licensed Area any timber (whether live or dead) growing or lying on the Licensed Area;
i) Not undertake any earthworks or alterations to the drainage or overland flow of the stormwater over the Licensed Area;
j) Not allowing dumping, disposal or accumulation of rubbish on the Licensed Area;
k) The Licensee must obtain and maintain at all times during the term a Property Identification Code, and ensure all livestock are fitted with National Livestock Identification System endorsed tags;
l) To undertake and maintain the prevention and control of erosion including:
i. using the land according to its capacity;
ii. protecting the soil surface by retaining and maintaining adequate silage and vegetation;
iii. controlling run-off before it develops into an erosive force;
iv. stabilising banks of watercourses including any river, creek, gully or natural watercourse.

Duties; Obligations. (A) In exchange for payment of the consideration set forth in this Agreement, the Employee shall, during his continued employment with the Company, and subject to the direction and control of the Company’s executive officers, perform such reasonable services, duties and functions of a Senior Vice President and Sales Representative as he may be called upon by such executive officers during the term of this Agreement. The Employee shall report directly to the Senior Management of the Company.
(B) During the continuation of his employment, the Employee will work for the Company on a full-time basis and agrees to devote his best efforts to the performance of his duties for the Company. The Employee has informed the Company that from time to time he may be requested to act as a consultant (“Consulting Work”) for a bio-technical like company not in the clinical laboratory testing business and not in competition with the Company (“Non-Clinical Laboratory Companies”). The Consulting Work for Non-Clinical Laboratory Companies primarily involves introducing these companies and their products to the doctors that the Employee solicits or is otherwise involved with on behalf of the Company. The Employee has also informed the Company that the Consulting Work will not interfere with his work for the Company. The Employee agrees to notify the Company of his acceptance of Consulting Work and the nature of the business of the Company for which he will be consulting.
(C) The services, duties and functions referred to in subsection (A) above that the Employee may be called upon to perform include, but are not limited to the following:
(i) Those duties attendant to the position with the Company in which he is employed, including the marketing and sale of the various health and clinical laboratory services;
(ii) Assist the Company in the planning and implementation of all sales promotion, advertising, public relations, personnel and product development programs;
(iii) Promotion of the relationships of the Company and its subsidiary and affiliate corporations with their respective employees, customers, suppliers, and others in the business community;
(iv) Work with the Company’s professional staff toward the development of special programs to offer laboratory services to different groups of physicians and specialists;
(v) Assisting other sales personnel in marketing and servicing their accounts;
(vi) Assisting the Company in training and managing other sales and service personne...
Duties; Obligations. The Administrative Agent shall not be bound to follow or agree to any amendment or supplement to this Agreement (including any Conforming Changes) that would increase or materially change or affect the duties, obligations or liabilities of the Administrative Agent (including the opposition or expansion of any discretionary authority), or reduce, eliminate, limit or otherwise change any right, privilege or protection of the Administrative Agent, or would otherwise affect the Administrative Agent, in each case in its sole judgment, without the Administrative Agent’s express written consent to be given or withheld in its sole discretion.

Notwithstanding Section 3 above, and to encourage support and funding for the Registry, You agree not to redistribute substantially all the Registry Data in substantially unmodified form. EIDR allows and encourages redistribution of the Registry Data by Participants as part of enhanced databases with substantially added value, but EIDR is the sole provider of copies of the Registry Data as a standalone collection of data. User agrees that it will not download the entire set of Registry Data or redistribute it to other potential Users who do not pay fees to support the Registry.
5.2. You shall use the Registry strictly in accordance with the terms of the Governing Documents and shall not:
5.2.1. decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt any part of the Registry;
5.2.2. make any modification, adaptation, improvement, enhancement, translation, or derivative work from the Registry;
5.2.3. violate any applicable laws, rules, or regulations in connection with Your access or use of the Registry;
5.2.4. remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of EIDR or its affiliates;
5.2.5. use the Registry for any revenue generating endeavor, commercial enterprise, or other purposes for which it is not designed or intended;
5.2.6. make the Registry available over a network or other environment permitting access or use by one or multiple Users not permitted by EIDR;
5.2.7. use the Registry for creating a product, service or software that is directly, or indirectly, competitive with or in any way a substitute for any services, product or software offered by EIDR;
5.2.8. use the Registry to send automated queries to any website or to send any unsolicited commercial email; or
5.2.9. use any proprietary information or interfaces of EIDR or other intellectual property of EIDR in the design, development, manufacture, licensing or distribution of any applications, accessories, or devices for use with the Registry.
5.3. You will not (i) use the Registry for any unlawful purpose; (ii) use the Registry in any manner that could damage, disable, overburden, or impair the Registry Servers, or interfere with any other party's use of the Registry; or (iii) obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Registry.

By making this reservation, it is agreed that all registered guests in the party will conduct themselves in a safe and responsible manner and are assuming the risk of any harm arising from their use of the premises. Manager/Vacation Rental Owner (VR Owner) is not responsible for any accidents, injuries or illness that may occur while on the premises or use of its facilities/amenities. The Vacation Rental and its facilities are exclusively for the use and enjoyment of the registered guest up to the maximum occupancy allowed. The registered guests use the premises and/or their facilities at their own risk. The Manager/VR Owner is not responsible in any way (loss or otherwise) for the food, personal belongings or valuables of the guest.

(i) work safely at all times in accordance with the Company's safety policies and procedures;
(ii) report for work in a fit and proper state free from the influence of drugs or alcohol and comply with the Company's drug and alcohol procedures;

The Security Trustee shall not be required to take any action or exercise any rights, remedies, powers or discretions under or in connection with this Agreement beyond those which the Trustee shall specifically instruct the Security Trustee in writing to take or exercise and then only to the extent stated in the Trustee's specific instructions in writing. Notwithstanding the foregoing, the Security Trustee may refrain from doing anything which would or might in its opinion be contrary to this Agreement, the Security Documents, the Indenture or the Notes any law of any jurisdiction or any directive or regulation of any agency of any state, or which would or might otherwise render it liable to any person and may do anything which is, in its opinion, necessary to comply with any such law, directive or regulation.
