Duty of Defense. Otay Affiliates obligations under this Section 13.14 shall include the duty of defense with counsel chosen by the Xxxx Xxxxxxxxxx and reasonably acceptable to City with respect to any suit or claim that may be instituted against any City Indemnified Party by reason of or growing out of or resulting from any Losses Causing Activity.
