Duty Owed to S&S. The parties agree that if the Organization breaches any term of Section 2.3 or Section 2.4 then S&S shall have the right to terminate this Agreement and the grant of Licenses herein forthwith without giving notice as set forth in Section 6.2(a).

  • Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of New York.
