DUTY TO MAINTAIN SECRECY AND CONFIDENTIALITY. During the Period of the Physician Executive's employment with the Company, the Physician Executive shall maintain the secrecy and confidentiality of the Trade Secrets and the Confidential Information and shall not (i) divulge, furnish or make accessible to anyone or in any way or use, for his own benefit or for the benefit of any other individual firm or entity (other than in the ordinary course of the Company's business), any Trade Secret or Confidential Information; (ii) take or permit any action to be taken which would reduce the value of the Trade Secrets or Confidential Information to the Company; or (iii) otherwise misappropriate or suffer the misappropriation of the Trade Secrets or the Confidential information, within the meaning of the Act. After the Termination Date, Physician Executive shall continue to maintain the secrecy and confidentiality of such information, but only to the extent that the Physician Executive is prohibited from directly or indirectly competing with Company pursuant to the provisions of Section 5.3.
