Privacy and Confidentiality. A. Contractors may use or disclose Medi-Cal PII only to perform functions, acitivities or services directly related to the administration of the Medi-Cal program in accordance with Welfare and Institutions Code section 14100.2 and 42 Code of Federal Regulations section 431.300 et.seq, or as required by law. Disclosures which are required by law, such as a court order, or which are made with the explicit written authorization of the Medi-Cal client, are allowable. Any other use or disclosure of Medi-Cal PII requires the express approval in writing of DHCS. Contractor shall not duplicate, disseminate or disclose Medi-Cal PII except as allowed in the Agreement.
B. Access to Medi-Cal PII shall be restricted to only contractor personnel who need the Medi-Cal Pii to perform their official duties in connection with the administration of the Medi-Cal program.
C. Contractor and/or their personnel who access, disclose or use Medi-Cal PII in a manner or for a purpose not authorized by this Agreement may be subject to civil and criminal sanctions contained in applicable Federal and State statutes.

As to commercial accounts (as applicable), you represent and warrant that you have authorization from the Account owner to engage in each Service used by you affecting an Account that is linked. You make this representation and warranty at the time the Accounts are linked and each time you use a Service to access or transact on an Account. These representations and warranties are in addition to any others contained in this Agreement or in any supplemental agreements that may be required by us. During your enrollment for the Services, you are required to select or will be assigned certain numbers, codes, marks, signs, public keys or other means of authenticating your identity and electronic communications in your name. These may include a customer number, logon name, and password. These credentials, with the other components of your Security Codes, will give access to your Accounts through the Service. You agree to change all passwords with sufficient frequency so as to protect confidentiality, and in any event no less frequently than every 90 days. You agree to keep all Security Codes confidential; you agree not to write them down. Passwords should not be easy to guess: for example, your children’s or pet’s names, birth dates, addresses or other easily recognized identification related to you. You acknowledge that by opening an account with us and providing us with order instructions of buying or selling financial products, you will be providing us with personal information within the meaning of the Cypriot “Law providing for the Protection of Natural Persons with regard to the Processing of Personal Data and for the Free Movement of such Data of 2018 (Law 125(I)/2018)”, as amended. You consent to us processing all such information for the purposes of performing the Agreement and administering the relationship between you and us. You acknowledge and agree that this may result in your personal information being sent outside the Republic of Cyprus or the European Economic Area. You consent to our processing and disclosing such information in accordance with this Agreement and our Privacy Policy as published on our website, as may be updated from time to time. In the event that you disclose your Tax Identification Number (“TIN”) to us, we will comply with the Applicable Regulations in the handling, storage and treatment of that TIN.
16.2. Confidential information indicatively includes but is not limited to information about our business including any operations, processes, products and technology, affairs, trading, transactions, customers, suppliers (hereinafter referred to as “Confidential Information”), but excludes information which:
a) is or becomes public knowledge other than as a result of any breach of this Agreement or AM CY’s Privacy Policy; b) is lawfully within your possession before receiving such information from us;
c) is received by you without any obligation of confidentiality. AM CY and you undertake to not:
a) disclose to any person any Confidential Information except as permitted by this Agreement or by law;
b) use any Confidential Information for any purpose other than to exercise any rights and perform any obligations under or in connection with this Agreement. This clause and its operation survive the termination of this Agreement.
Privacy and Confidentiality. (a) The Parties agree that the Employee Assistance Program shall not operate so as to invade the privacy of any employee, except with the employee’s consent and where attendance, job performance or behaviour while at work is identified as a problem.
(b) All information related to an employee’s participation in the Employee Assistance Program will remain confidential and neither Party shall use the participation of an employee as evidence in any arbitration.
