Common use of Earned Compensation Clause in Contracts

Earned Compensation. For purposes of those Paragraphs of this Agreement pertaining to termination of the employment relationship, whether involuntary or voluntary, unless otherwise expressly provided herein, no part of (i) the Annual Incentive Plan for the year in which the termination occurs, (ii) any performance-vesting equity or other awards for any period in which the termination occurs and (iii) any time-vesting equity or other awards that are not vested as of the termination date will be deemed earned as of the date of termination.

Earned Compensation. For purposes of those Paragraphs of this Agreement pertaining to termination of the employment relationship, whether involuntary or voluntary, unless otherwise expressly provided herein, no part of (i) the Annual Incentive Plan for the year in which the termination occurs, (ii) no part of any performance-vesting equity or other awards performance shares for any multi-year period or periods in which the termination occurs and (iii) no part of any time-vesting equity or other awards that are not vested as of the termination date will be deemed earned as of the date of termination.
