Earnout Acceleration or Continuation Events. Notwithstanding any other provision contained in this Agreement to the contrary, in the event an Earnout Acceleration or Continuation Event occurs at any time prior to the end of the Earnout Period, the effect shall be that, at Purchaser shall, in its discretion, either (i) within five (5) Business Days after the Earnout Acceleration or Continuation Event, pay to Seller Parent, by wire transfer to an account specified in writing by Seller Parent, an earnout amount equal to the book value of the earnout obligation pursuant to this Section 2.13, which book value shall have been determined in good faith and in accordance with GAAP, and the provisions of this Section 2.13 (to the extent applicable), as reflected on the balance sheet of Purchaser and its Subsidiaries in the most recent financial statements filed with the SEC prior to the Earnout Acceleration or Continuation Event or (ii) (A) there shall be no acceleration of any earnout amount under this Section 2.13, (B) the terms and provisions of this Section 2.13 shall continue in accordance with their terms and Purchaser shall remain liable therefor, and (C) Purchaser shall require any successor of Purchaser, if applicable (whether direct or indirect, by purchase, merger, sale of stock or assets, consolidation or otherwise) to assume and agree, in writing, to perform Section 2.13 of this Agreement, in the same manner and to the same extent that Purchaser would have been required to perform if no such succession had taken place, and to maintain, until the end of the Earnout Period, Purchaser’s business as a separate legal entity or reportable business unit, segment or division of such successor or its subsidiary and conduct Purchaser’s business exclusively through such separate legal entity or reportable business unit, segment or division, and maintain separate books and records of such legal entity or reportable business unit, segment or division to enable such successor to determine the Cumulative Adjusted EBITDA of Purchaser’s business. For purposes of this Section 2.13, an “Earnout Acceleration or Continuation Event” shall mean any of the following events that occurs prior to the end of the Earnout Period: (1) any Person or group (as defined under the Exchange Act) acquires more than 50% of the common stock of Purchaser, (2) Purchaser effects a bona fide sale of its assets representing more than 50% of the Adjusted EBITDA of Purchaser and its wholly-owned Subsidiaries to an entity that is not an Affilia...

  • Consequences of a Servicer Termination Event If a Servicer Termination Event shall occur and be continuing, the Trust Collateral Agent may, or at the direction of the Majority Noteholders shall, by notice given in writing to the Servicer (and to the Trust Collateral Agent if given by the Noteholders) terminate all of the rights and obligations of the Servicer under this Agreement. On or after the receipt by the Servicer of such written notice or upon termination of the term of the Servicer, all authority, power, obligations and responsibilities of the Servicer under this Agreement, whether with respect to the Notes, the Certificate or the Other Conveyed Property or otherwise, shall pass to, be vested in and become obligations and responsibilities of the successor Servicer appointed by the Majority Noteholders; provided, however, that the successor Servicer shall have no liability with respect to any obligation which was required to be performed by the terminated Servicer prior to the date that the successor Servicer becomes the Servicer or any claim of a third party based on any alleged action or inaction of the terminated Servicer. The successor Servicer is authorized and empowered by this Agreement to execute and deliver, on behalf of the terminated Servicer, as attorney-in-fact or otherwise, any and all documents and other instruments and to do or accomplish all other acts or things necessary or appropriate to effect the purposes of such notice of termination, whether to complete the transfer and endorsement of the Receivables and the Other Conveyed Property and related documents to show the Trust as lienholder or secured party on the related Lien Certificates, or otherwise. The terminated Servicer agrees to cooperate with the successor Servicer in effecting the termination of the responsibilities and rights of the terminated Servicer under this Agreement, including, without limitation, the transfer to the successor Servicer for administration by it of all cash amounts that shall at the time be held by the terminated Servicer for deposit, or have been deposited by the terminated Servicer, in the Collection Account or thereafter received with respect to the Receivables and the delivery to the successor Servicer of all Receivable Files, Monthly Records and Collection Records and a computer tape in readable form as of the most recent Business Day containing all information necessary to enable the successor Servicer to service the Receivables and the Other Conveyed Property. The terminated Servicer shall grant the Trust Collateral Agent, the successor Servicer and the Majority Noteholders reasonable access to the terminated Servicer’s premises at the terminated Servicer’s expense.

  • Alternative Calculations and Payment on Early Termination and on Certain Extraordinary Events If (a) an Early Termination Date (whether as a result of an Event of Default or a Termination Event) occurs or is designated with respect to the Transaction or (b) the Transaction is cancelled or terminated upon the occurrence of an Extraordinary Event (except as a result of (i) a Nationalization, Insolvency or Merger Event in which the consideration to be paid to holders of Shares consists solely of cash, (ii) a Merger Event or Tender Offer that is within Counterparty’s control, or (iii) an Event of Default in which Counterparty is the Defaulting Party or a Termination Event in which Counterparty is the Affected Party other than an Event of Default of the type described in Section 5(a)(iii), (v), (vi), (vii) or (viii) of the Agreement or a Termination Event of the type described in Section 5(b) of the Agreement, in each case that resulted from an event or events outside Counterparty’s control), and if Dealer would owe any amount to Counterparty pursuant to Section 6(d)(ii) of the Agreement or any Cancellation Amount pursuant to Article 12 of the Equity Definitions (any such amount, a “Payment Obligation”), then Dealer shall satisfy the Payment Obligation by the Share Termination Alternative (as defined below), unless (a) Counterparty gives irrevocable telephonic notice to Dealer, confirmed in writing within one Scheduled Trading Day, no later than 12:00 p.m. (New York City time) on the Merger Date, Tender Offer Date, Announcement Date (in the case of a Nationalization, Insolvency or Delisting), Early Termination Date or date of cancellation, as applicable, of its election that the Share Termination Alternative shall not apply, (b) Counterparty remakes the representation set forth in Section 8(f) as of the date of such election and (c) Dealer agrees, in its sole discretion, to such election, in which case the provisions of Section 12.7 or Section 12.9 of the Equity Definitions, or the provisions of Section 6(d)(ii) of the Agreement, as the case may be, shall apply.

  • Actions following an Event of Default On, or at any time after, the occurrence of an Event of Default:

  • Termination Event; Notice The Purchase Contracts and all obligations and rights of the Company and the Holders thereunder, including, without limitation, the rights of the Holders to receive and the obligation of the Company to pay any Purchase Contract Payments (including any deferred or accrued and unpaid Purchase Contract Payments), if the Company shall have such obligation, and the rights and obligations of Holders to purchase Common Stock, shall immediately and automatically terminate, without the necessity of any notice or action by any Holder, the Purchase Contract Agent or the Company, if, prior to or on the Purchase Contract Settlement Date, a Termination Event shall have occurred.
