Common use of Effect of Acceptance Clause in Contracts

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription Price.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription Pricepurchase price of the Shares as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Securities and the Company will be entitled to receive the purchase price of the Securities as specified herein. By Subscriber’s execution of this Subscription PriceAgreement, Subscriber agrees to the bound by the terms and conditions of the Note and the Warrant.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Tokens and the Company will be entitled to receive the Subscription Pricepurchase price of the Tokens as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription PricePrice of the Shares as specified herein. The minimum investment amount for a single investor is $10,000 for 2,000 shares. Subscriptions for less than the minimum investment will automatically be rejected.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it this agreement shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon on acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription Pricepurchase price of the Shares.

Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Units (and the underlying common stock, the Warrants and the common stock issuable upon exercise of the Warrants) and the Company will be entitled to receive the Subscription Pricepurchase price of the Units by way of a reduction of indebtedness payable by the Company on account with the Subscriber as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Note and the Company will be entitled to receive the Subscription Pricepurchase price of the Note as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Subscription Notes, and the Company will be entitled to receive the Purchase Price with respect to the Subscription PriceNotes.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon on acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Series B Notes and Warrants and the Company will be entitled to receive the Subscription Pricepurchase price of the Series B Notes and Warrants.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription PricePurchase Price with respect to the Shares.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on that, upon the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription AgreementAgreement (in whole or in part), Subscriber will become the record and beneficial holder of the Shares and the Company will be entitled to receive the Subscription Pricepurchase price of the Shares for which subscriptions are accepted in whole or in part.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Units and the Company will be entitled to receive the Subscription Pricepurchase price of the Units as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription AgreementAgreement and subject to the Company receiving accepted subscriptions for the Offering Amount, Subscriber will become the record and beneficial holder of the Shares Units (and the preferred stock, common stock and warrants represented thereby) and the Company will be entitled to receive the Subscription Pricepurchase price of the Units as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s 's acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares Note and the Company will be entitled to receive the Subscription Pricepurchase price of the Note as specified herein.

Effect of Acceptance. Subscriber hereby acknowledges and agrees that on the Company’s acceptance of this Subscription Agreement, it shall become a binding and fully enforceable agreement between the Company and the Subscriber. As a result, upon acceptance by the Company of this Subscription Agreement, Subscriber will become the record and beneficial holder of the Shares shares of Common Stock and Warrants, if applicable, subscribed for and the Company will be entitled to receive the Subscription Pricepurchase price of the Shares as specified herein.
