Effect Of Bankruptcy Proceedings. This Guaranty shall continue to be effective, or be automatically reinstated, as the case may be, if at any time payment, in whole or in part, of any of the Guaranteed Obligations is rescinded or must otherwise be restored or returned by Lender as a preference, fraudulent conveyance or otherwise under any bankruptcy, insolvency or similar law, all as though such payment had not been made. If an Event of Default at any time shall have occurred and be continuing or exist and declaration of default or acceleration under or with respect to any of the Loan Documents shall at such time be prevented by reason of the pendency against Borrower of a case or proceeding under any bankruptcy or insolvency law, Guarantor agrees that, for purposes of this Guaranty and Guarantor’s obligations hereunder, such Loan Documents shall be deemed to have been declared in default or accelerated with the same effect as if such Loan Documents had been declared in default and accelerated in accordance with the terms thereof, and Guarantor shall forthwith pay the Guaranteed Obligations in full without further notice or demand.

If an Event of Default at any time shall have occurred and be continuing or exist and declaration of default or acceleration under or with respect to the Lease shall at such time be prevented by reason of the pendency against Tenant of a case or proceeding under any bankruptcy or insolvency law, Guarantor agrees that, for purposes of this Guaranty and its obligations hereunder, the Lease shall be deemed to have been declared in default or accelerated with the same effect as if the Lease had been declared in default and accelerated in accordance with the terms thereof, and Guarantor shall forthwith pay and perform the Guaranteed Obligations in full without further notice or demand.
Effect Of Bankruptcy Proceedings. EC agrees that, if for any reason it becomes a debtor in a case under the U. S. Bankruptcy Code, this Agreement, pursuant to Section 365(c)(1) of the U. S. Bankruptcy Code, is not, and shall not be, assumable under Section 365 of the U.S. Bankruptcy Code, it being agreed and acknowledged that applicable patent law would excuse Biotec from accepting performance from or rendering performance to any entity other than EC, whether or not this Agreement prohibited or restricted assignment of rights or delegation of duties. Accordingly, as provided in Section 15(c) hereof, this Agreement, pursuant to Section 365(e)(2) of the U. S. Bankruptcy Code, will automatically terminate upon EC becoming a debtor in a case under the U. S. Bankruptcy Code, notwithstanding the provisions of Section 365(e)(1) of the U. S. Bankruptcy Code.

Effect Of Bankruptcy Proceedings. If an event permitting the acceleration of any of the Obligations shall at any time have occurred and be continuing, and the acceleration shall at such time be prevented by reason of the pendency against the Borrower of a case or proceeding under a bankruptcy or insolvency law, the Guarantor agrees that, for purposes of this Agreement and the Guarantor's obligations under this Agreement, the Obligations shall be deemed to have been accelerated with the same effect as if they had been accelerated in accordance with the terms of the Loan Documents. In this event the Guarantor shall immediately pay the full amount of the Obligations due and owing by reason of the acceleration, without further notice or demand.

Funders hereby agree to indemnify Circle against, and to save and hold Circle harmless from any required return by Circle, or recovery from Circle, of any such payment because of it being deemed a preference or a fraudulent conveyance under applicable bankruptcy, receivership or insolvency laws, or for any other reason. If, by reason of any bankruptcy, insolvency or similar laws affecting the rights of creditors, Circle shall be prohibited from exercising any of their rights and remedies, such prohibition shall be of no force and effect, and Circle shall have the right to make written demand upon, and receive payment from Funders of all Advances and Funders’ obligation in this respect shall be primary and not secondary.

Effect Of Bankruptcy Proceedings. (a) Sweetheart agrees that, if for any reason it becomes a debtor in a case under the U.S. Bankruptcy Code, this Agreement, pursuant to Section 365(c)(1) of the U.S. Bankruptcy Code, is not, and shall not be, assumable under Section 365 of the U.S. Bankruptcy Code, it being agreed and acknowledged that applicable patent law would excuse EarthShell from accepting performance from or rendering performance to any entity other than Sweetheart, whether or not this Agreement prohibited or restricted assignment of rights or delegation of duties. Accordingly, pursuant to Section 365(e)(2) of the U.S. Bankruptcy Code, this Agreement will automatically terminate upon Sweetheart becoming a debtor in a case under the U.S. Bankruptcy Code, notwithstanding the provisions of Section 365(e)(1) of the U.S. Bankruptcy Code. (b) The Parties agree that the Technology constitutes "intellectual property" as defined in the U.S Bankruptcy Code, and that the Sublicense granted to Sweetheart under this Agreement is entitled to the benefits of Section ss.365(n) of the U.S. Bankruptcy Code.

It is the intention of Borrower and Guarantor that Guarantor’s obligations hereunder shall not be discharged except by Guarantor’s performance of such obligations and then only to the extent of such performance.

  • Event of Bankruptcy In addition to, and in no way limiting the other remedies set forth herein, Landlord and Tenant agree that if Tenant ever becomes the subject of a voluntary or involuntary bankruptcy, reorganization, composition, or other similar type proceeding under the federal bankruptcy laws, as now enacted or hereinafter amended, then: (a) “adequate assurance of future performance” by Tenant pursuant to Bankruptcy Code Section 365 will include (but not be limited to) payment of an additional/new security deposit in the amount of three times the then current Base Rent payable hereunder; (b) any person or entity to which this Lease is assigned, pursuant to the provisions of the Bankruptcy Code, shall be deemed, without further act or deed, to have assumed all of the obligations of Tenant arising under this Lease on and after the effective date of such assignment, and any such assignee shall, upon demand by Landlord, execute and deliver to Landlord an instrument confirming such assumption of liability; (c) notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord under this Lease, whether or not expressly denominated as “Rent”, shall constitute “rent” for the purposes of Section 502(b)(6) of the Bankruptcy Code; and (d) if this Lease is assigned to any person or entity pursuant to the provisions of the Bankruptcy Code, any and all monies or other considerations payable or otherwise to be delivered to Landlord or Agent (including Base Rent, Additional Rent and other amounts hereunder), shall be and remain the exclusive property of Landlord and shall not constitute property of Tenant or of the bankruptcy estate of Tenant. Any and all monies or other considerations constituting Landlord’s property under the preceding sentence not paid or delivered to Landlord or Agent shall be held in trust by Tenant or Tenant’s bankruptcy estate for the benefit of Landlord and shall be promptly paid to or turned over to Landlord.

If the Limited Partners elect to continue the business of the Partnership and admit a substitute General Partner, the relationship with the Partners and of any Person who has acquired an interest of a Partner in the Partnership shall be governed by this Agreement.

(b) If any Pledgor shall become subject to a case (a “Bankruptcy Case”) under the Bankruptcy Code, whether voluntary or involuntary, and shall, as debtor(s)-in-possession, move for approval of financing (“DIP Financing”) to be provided by one or more lenders (the “DIP Lenders”) under Section 364 of the Bankruptcy Code or the use of cash collateral under Section 363 of the Bankruptcy Code, each Secured Party agrees that it will raise no objection to any such financing or to the Liens on the Shared Collateral securing the same (“DIP Financing Liens”) or to any use of cash collateral that constitutes Shared Collateral, unless any Controlling Secured Party, or an Authorized Representative of any Controlling Secured Party, shall then oppose or object to such DIP Financing or such DIP Financing Liens or use of cash collateral (and (i) to the extent that such DIP Financing Liens are senior to the Liens on any such Shared Collateral for the benefit of the Controlling Secured Parties, each Non-Controlling Secured Party will subordinate its Liens with respect to such Shared Collateral on the same terms as the Liens of the Controlling Secured Parties (other than any Liens of any Secured Parties constituting DIP Financing Liens) are subordinated thereto, and (ii) to the extent that such DIP Financing Liens rank pari passu with the Liens on any such Shared Collateral granted to secure the Obligations of the Controlling Secured Parties, each Non-Controlling Secured Party will confirm the priorities with respect to such Shared Collateral as set forth herein), in each case so long as (A) the Secured Parties of each Series retain the benefit of their Liens on all such Shared Collateral pledged to the DIP Lenders, including proceeds thereof arising after the commencement of such proceeding, with the same priority vis-à-vis all the other Secured Parties (other than any Liens of the Secured Parties constituting DIP Financing Liens) as existed prior to the commencement of the Bankruptcy Case, (B) the Secured Parties of each Series are granted Liens on any additional collateral pledged to any Secured Parties as adequate protection or otherwise in connection with such DIP Financing or use of cash collateral, with the same priority vis-à-vis the Secured Parties as set forth in this Agreement, (C) if any amount of such DIP Financing or cash collateral is applied to repay any of the Obligations, such amount is applied pursuant to Section 2.01 of this Agreement, and (D) if any Secured Parties are granted adequate protection, including in the form of periodic payments, in connection with such DIP Financing or use of cash collateral, the proceeds of such adequate protection is applied pursuant to Section 2.01 of this Agreement; provided that the Secured Parties of each Series shall have a right to object to the grant of a Lien to secure the DIP Financing over any Collateral subject to Liens in favor of the Secured Parties of such Series or its Authorized Representative that shall not constitute Shared Collateral; and provided further, that the Secured Parties receiving adequate protection shall not object to any other Secured Party receiving adequate protection comparable to any adequate protection granted to such Secured Parties in connection with a DIP Financing or use of cash collateral.

  • No Insolvency Proceedings No attachments, execution proceedings, assignments for the benefit of creditors, insolvency, bankruptcy, reorganization or other proceedings are pending, or to the Company’s Knowledge, threatened against the Company or any of the Company Subsidiaries, nor are any such proceedings contemplated by the Company or any of the Company Subsidiaries.
