Effect of Consent to Transfer. 1. The creation or transfer of any security interest in the HAP contract is limited to amounts payable under the HAP contract in accordance with the terms of the HAP contract.
2. The PHA’s consent to transfer of the HAP contract or the property does not to change the terms of the HAP contract in any way, and does not change the rights or obligations of the PHA or the owner under the HAP contract.
3. The PHA’s consent to transfer of the HAP contract or the property to any transferee does not constitute consent to any further transfers of the HAP contract or the property, including further transfers to any successors or assigns of an approved transferee.
Effect of Consent to Transfer. Our consent to a Transfer will not constitute a waiver of any claims we may have against the transferor nor be deemed a waiver of our right to demand full compliance by the transferee with the terms or conditions of this Agreement.
Effect of Consent to Transfer. Our consent to a transfer of this Agreement and the Restaurant or any interest in you does not constitute a representation as to the fairness of the terms of any contract between you and the transferee, a guarantee of the prospects of success of the Restaurant or transferee or a waiver of any claims we may have against you (or your owners) or of our right to demand the transferee’s exact compliance with any of the terms or conditions of this Agreement.
Effect of Consent to Transfer. Our consent to a transfer of this Agreement and the FACILITY, or any interest in you or your owners, is not a representation of the fairness of the terms of any contract between you and the transferee, a guarantee of the FACILITY’s or transferee’s prospects of success, or a waiver of any claims we have against you (or your owners) or of our right to demand the transferee’s full compliance with this Agreement.
Effect of Consent to Transfer. A party's consent to a Transfer of this Agreement, subject to the restrictions contained herein, shall not constitute a waiver of any claims that party may otherwise have against the transferor, nor shall it be deemed a waiver of that party's rights to demand exact compliance with any of the terms or conditions of this Agreement by the transferee.
Effect of Consent to Transfer. COMPANY's consent to a transfer of this Agreement or any interest subject to the restrictions of this Section shall not constitute a waiver of any claims it may have against Licensee (or its Principal Owners), nor shall it be deemed a waiver of COMPANY's right to demand exact compliance with any of the terms or conditions of this Agreement by the transferee.
Effect of Consent to Transfer. Our consent to a proposed transfer under this Section 13 will not be a guarantee of the transferee's success or a waiver of any claims we may have against you or of our right to demand the transferee's exact compliance with this Agreement.
Effect of Consent to Transfer. Franchisor's consent to a transfer of this Agreement or any interest in Franchisee subject to the restrictions of this Section 12 shall not constitute a waiver of any claims Franchisor may have against Franchisee, nor shall it be deemed a waiver of Franchisor's rights to demand exact compliance with any of the terms or conditions of this Agreement by the transferee.
Effect of Consent to Transfer. Our consent to a transfer of this Agreement and the WOB Tavern or any interest in you does not constitute a representation as to the fairness of the terms of any contract between you and the transferee, a guarantee of the prospects of success of the WOB Tavern or transferee or a waiver of any claims we may have against you (or your owners) or of our right to demand the transferee's exact compliance wfith any of the terms or conditions of this Agreement.
Effect of Consent to Transfer. In the event that Landlord grants its consent to any Transfer, such consent shall not:
16.2.1 constitute a waiver of the necessity of Landlord’s consent to a subsequent assignment, subletting or hypothecation, whether by Tenant or any subsequent assignee, subtenant or successor in interest;
16.2.2 be deemed a release of Tenant from primary liability for the full performance of and strict compliance with all the terms, conditions and covenants of this Lease on Tenant’s part to be performed and following any Transfer pursuant to this Section 15 or otherwise, Tenant shall remain fully and jointly and severally liable with the transferee for all of Tenant’s obligations under this Lease;
16.2.3 be construed as relieving any successor in interest to Tenant from primary liability for the full performance of and strict compliance with all the terms conditions and covenants of this Lease on Tenant’s part to be performed; and
16.2.4 obligate Landlord to execute any other document or instrument (including, without limitation, any subordination agreement), which document or instrument Landlord shall sign or not sign in Landlord’s sole and absolute discretion, other than documents evidencing only Landlord’s consent.
