Common use of Effect of Due Diligence Clause in Contracts

Effect of Due Diligence. No investigation by or on behalf of the Buyer or G-III into the business, operations, prospects, assets or condition (financial or otherwise) of the Acquired Companies shall diminish in any way the effect of any representations or warranties made by the Sellers in this Agreement or shall relieve the Sellers of any of their respective obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of the Buyer or G-III into the business, operations, prospects, assets or condition (financial or otherwise) of the Acquired Companies shall diminish in any way the effect of any representations or warranties made by the Sellers Blass Parties in this Agreement or shall relieve the Sellers a Blass Party of any of their respective its obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of the Buyer or G-III into the business, operations, prospects, assets or condition (financial or otherwise) of the Acquired Companies Business, the Assets or of Sellers shall diminish in any way the effect of any representations or warranties made by the Sellers in this Agreement or shall relieve the Sellers of any of their respective obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of the Buyer or G-III Purchaser into the business, operations, prospects, assets or condition (financial or otherwise) of the Acquired Companies Company shall diminish in any way the effect of any representations or warranties made by Seller and the Sellers Company in this Agreement or shall relieve Seller or the Sellers Company of any of their respective its obligations under this Agreement.

Effect of Due Diligence. No investigation by Purchaser, its Affiliates, agents or on behalf of the Buyer or G-III advisers into the business, operations, prospects, assets or Assets and condition (financial or otherwise) of the Acquired Companies Company or any of its Subsidiaries shall diminish in any way the effect of any representations or warranties made by the Sellers Stockholders in this Agreement or shall relieve the Sellers Stockholders of any of their respective obligations under this Agreement.
