Common use of Effect of Due Diligence Clause in Contracts

Effect of Due Diligence. No investigation by or on behalf of Purchaser into the business, operations, prospects, assets or condition (financial or otherwise) of the Company shall diminish in any way the effect of any representations or warranties made by Seller and the Company in this Agreement or shall relieve Seller or the Company of any of its obligations under this Agreement.

Effect of Due Diligence. No investigation by Purchaser, its Affiliates, agents or on behalf of Purchaser advisers into the business, operations, prospects, assets or Assets and condition (financial or otherwise) of the Company or any of its Subsidiaries shall diminish in any way the effect of any representations or warranties made by Seller and the Company Stockholders in this Agreement or shall relieve Seller or the Company Stockholders of any of its their respective obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of Purchaser Buyer into the business, operations, prospects, assets or condition (financial or otherwise) of the Company Business, the Assets or of Sellers shall diminish in any way the effect of any representations or warranties made by Seller and the Company Sellers in this Agreement or shall relieve Seller or the Company Sellers of any of its their respective obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of the Purchaser or any of its members or representatives into the business, operations, prospects, assets or condition (financial or otherwise) of the Company shall diminish in any way the effect of any representations or warranties made by the Seller and the Company in this Agreement herein or shall relieve Seller the Company or the Company Sellers of any of its or their obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of Purchaser the Buyer or G-III into the business, operations, prospects, assets or condition (financial or otherwise) of the Company Acquired Companies shall diminish in any way the effect of any representations or warranties made by Seller and the Company Sellers in this Agreement or shall relieve Seller or the Company Sellers of any of its their respective obligations under this Agreement.

Effect of Due Diligence. No investigation by or on behalf of Purchaser Buyer into the business, operations, prospects, assets or condition (financial or otherwise) of the Company Companies shall diminish in any way the effect of any representations or warranties made by Seller and the Company Blass Parties in this Agreement or shall relieve Seller or the Company a Blass Party of any of its obligations under this Agreement.
