Effect of Merger I. Merger I shall have the effects as provided in the applicable provisions of the DGCL and the Arkansas Code. Without limiting the generality of the foregoing, at the Merger I Effective Time, all of the property, rights, privileges, powers and franchises of the Company and Merger Sub shall vest in the Intermediate Surviving Corporation, and all debts, liabilities and duties of the Company and Merger Sub shall become the debts, liabilities and duties of the Intermediate Surviving Corporation.

Effect of Merger I. Merger I shall have the effects set forth in this Agreement and in the applicable provisions of California Law. Without limiting the generality of the foregoing, and subject thereto, at the Merger I Effective Time, except as otherwise agreed pursuant to the terms of this Agreement, all of the property, rights, privileges, powers and franchises of the Company and Merger Sub I shall vest in the Merger I Surviving Corporation, and all debts, liabilities and duties of the Company and Merger Sub I shall become the debts, liabilities and duties of the Merger I Surviving Corporation.
Effect of Merger I. The effect of Merger I shall be as provided in this Agreement and the applicable provisions of Delaware Law and the DLLCA. Without limiting the generality of the foregoing, and subject thereto, at the Effective Time of Merger I all the property, rights, privileges, powers and franchises of Raven shall vest in Surviving Corporation I, and all debts, liabilities, obligations and duties of Raven shall become the debts, liabilities, obligations and duties of Surviving Corporation I.
