Duties of. Distributor You agree that: ---------------------
(a) Neither you nor any of your officers will take any long or short position in the Shares, but this provision shall not prevent you or your officers from acquiring Shares for investment purposes only;
(b) You shall furnish to the Fund any pertinent information required to be inserted with respect to you as General Distributor within the purview of the Securities Act of 1933 in any reports or registration required to be filed with any governmental authority; and
(c) You will not make any representations inconsistent with the information contained in the current Prospectus and/or SAI.
(d) You shall maintain such records as may be reasonably required for the Fund or its transfer or shareholder servicing agent to respond to shareholder requests or complaints, and to permit the Fund to maintain proper accounting records, and you shall make such records available to the Fund and its transfer agent or shareholder servicing agent upon request.
(e) In performing under this Agreement, you shall comply with all requirements of the Fund's current Prospectus and/or SAI and all applicable laws, rules and regulations with respect to the purchase, sale and distribution of Shares.

Duties of. An shall be required to perform the necessary and customary duties of the Deck Department. These shall include duties of helmsman, winchman, lookoutman, handling lines, tractors, gangplanks, blocking and securing of dollies, automobiles and other vehicles, attending plank watch when necessary, clock rounds, maintenance and cleaning of ships, as well as performing other regular duties assigned to him by his supervising officer.
Duties of. 7.1 will at all times during the Term:
7.1.1 observe and perform the terms and conditions set out in this Agreement;
7.1.2 consistent with its resource deployment strategy, devote its reasonable commercial efforts to promoting and marketing the Product in the Territory;
7.1.3 conduct its business in a responsible and ethical manner in the Territory and in accordance with all applicable laws, regulations and rules of the Territory, and not do or permit to be done anything that may bring BMI, the Product, the BMI Trademarks and/or the IP Rights into disrepute;
7.1.4 promptly bring to the attention of BMI any complaints it may receive regarding the Product;
7.1.5 not make or give any warranties, guarantees, representations or other commitments in relation to the Product or Services, other than as provided by BMI in writing (including in any Marketing Materials provided by BMI) or approved by BMI in writing;
7.1.6 promptly and diligently follow up on all End User inquiries consistent with ’s current business model and in any event, no less than the obligations agreed to herein;
7.1.7 consistent with its resource deployment strategy, maintain adequate staff trained in and able to fulfill the marketing, distribution and support needs as required under this Agreement;
7.1.8 promote BMI as ’s Preferred Provider for a Spam filtering service. As a “Preferred Provider,” agrees that: (i) when a customer requests a provider for Spam filtering products, it will promote BMI as a preferred Spam filtering product/service provider; and (ii) will refer to BMI as its preferred Spam filtering product/service provider in its public announcements regarding the relationship contemplated by this Agreement.
7.1.9 make each End User aware of the importance of providing BMI with email accounts * by BMI as probe accounts (“Probes”) in connection with BMI’s provision of the Services and to use reasonable commercial efforts to obtain and provide BMI with a list of the Probes for each End User prior to the first distribution of a Rule.

A copy of all sales literature shall be delivered to Laxdale.
6.3 [*] shall refrain from taking any action that would damage the reputation and standing of Laxdale and/or the Licensed Product.
6.4 [*] shall not re-sell, ship, export or otherwise dispose of the Licensed Products in any manner which may or would violate applicable export laws and/or regulations in the Territory.
6.5 All costs and expenses incurred by [*] in carrying out its obligations under this Agreement shall be borne solely and exclusively by [*] save to the extent expressly indicated to the contrary. Without prejudice to the foregoing generality, all expenses incurred by [*] in the manufacturing and marketing of the Licensed Products in the Territory shall be borne solely by [*].
6.6 [*] shall promptly bring to Laxdale’s notice any information or knowledge received or gained by it which is likely to be of interest, use or benefit to Laxdale in relation to the development, marketability or sale of the Licensed Product in the Territory, save as such disclosure is prohibited by a confidentiality obligation to a third party.
6.7 [*] shall respect and, in accordance with Clause 15 hereof, properly use Laxdale’s copyright (and other related rights) in all sales literature, marketing, promotional and/or other materials provided by Laxdale. For the avoidance...
Duties of. OFFICERS Each officer shall devote such time, effort, and skill to the Company's business affairs as he deems necessary and proper for the Company's welfare and success. The Members expressly recognize that the officers have substantial other business relationships and activities with Persons other than the Company.

Duties of. 1.1. The Director, , shall design and coordinate a clinical rotation program at the Placement Site, in cooperation with the Administration at the Placement Site.
1.2. shall provide to the Placement Site, not less than six (6) weeks prior to such placement, the number of assigned students, the dates and hours that students will be assigned, the expected level of experience to which students will be assigned, and the expected learning objectives of the students. At the beginning of each placement,
1.3. shall retain responsibility for the administration of the Surgical Technology Program, its curriculum content, and the assignment, teaching, supervision and evaluation of the students.
1.4. shall require students to observe all rules, regulations, bylaws, and policies of the Placement Site, including rules regarding the confidentiality of patient information, as well as all applicable federal and state laws, rules and regulations.
1.5. shall provide, or ensure that students maintain at all times during their clinical rotation, malpractice insurance for students in amounts required under the laws of the Commonwealth of . Upon request, shall provide satisfactory proof of insurance to the Placement Site.
