Common use of Effect of Prohibited Transfer Clause in Contracts

Effect of Prohibited Transfer. The Corporation shall not (a) transfer on its books any Shares which shall have been sold or transferred in violation of any of the provisions set forth in this Agreement, or (b) treat as the owner of or pay dividends to any transferee to whom any Shares shall have been sold or transferred in violation of any of the provisions set forth in this Agreement.

Effect of Prohibited Transfer. The Corporation Company shall not be required (a) to transfer on its books any of the Shares which shall have been sold or transferred in violation of any of the provisions set forth in this Agreement, Agreement or the Plan or (b) to treat as the owner of such Shares or to pay dividends to any transferee to whom any such Shares shall have been so sold or transferred in violation of any of the provisions set forth in this Agreementtransferred.
