Common use of Effect of Provisions Clause in Contracts

Effect of Provisions. The rights to indemnification and advancement of expenses set forth in this Section 9 are intended to be to the fullest extent permitted pursuant to the Act. The rights to indemnification and advancement of expenses set forth in this Section 9 shall not be deemed exclusive of any other rights to which those seeking indemnification or advancements of expenses may be entitled or granted by law, the Articles, this Agreement, the vote of the Managers, or an agreement with the Company, which means of indemnification and advancement of expenses are hereby specifically authorized.

Effect of Provisions. The rights to indemnification and advancement of expenses set forth in Section 10.1 are contractual between the Company and the Person being indemnified, and the heirs, executors and administrators of such Person, and in this Section 9 respect are intended to be to the fullest extent permitted pursuant to the Actmandatory. The rights to indemnification and advancement of expenses set forth in this Section 9 shall not be deemed exclusive of any other rights to which those Persons seeking indemnification or advancements of expenses may be entitled or granted by law, the ArticlesCertificate of Formation, this Agreement, the vote of the ManagersBoard or the Members, or an agreement with the Company, which means of indemnification and advancement of expenses are hereby specifically authorized.
