Effect of Subscription. Neither the execution nor the performance of this Agreement or any Transaction Document to which a Warrantor or Group Company is a party will conflict with or result in a breach of: (a) the constitutive documents of such Warrantor or such Group Company; (b) any agreement, arrangement, instrument, document or obligation to which such Warrantor or such Group Company is a party; or (c) any laws, regulations, rules, policies or orders to which such Warrantor or such Group Company is subject.
