Effect of Withdrawal of Managing Partner. If the Partnership is continued pursuant to Section 8.1 following the withdrawal of the Managing Partner, then the Partnership Interest of the Managing Partner shall be converted to that of a Limited Partner. The withdrawal of the Managing Partner shall not alter the allocations and distributions to be made to the Partners pursuant to this Agreement.
