Effect on Obligations. Termination of this Agreement pursuant to Section 8.1 above, shall terminate all obligations of the parties hereunder and this Agreement shall become void and have no effect without any Liability on the part of any party, except for the obligations under Sections 4.3 (Confidentiality), 4.4 (Public Disclosure), and 10.2 (Indemnification Obligations), and Article 11 (Miscellaneous Provisions); provided, however, that termination shall not relieve any party defaulting or breaching this Agreement prior to such termination from any Liability for such default or breach.
Effect on Obligations. Termination of this Agreement pursuant to this Article shall terminate all obligations of the parties hereunder, except for the obligations under Sections 12.8 and 12.11 hereof and the obligations set forth in the next succeeding sentence of this Section 10.2. Upon any termination of this Agreement each party hereto will redeliver all documents, work papers and other material of any other party relating to the transactions contemplated hereby, and all copies of such materials, whether so obtained before or after the execution hereof, to the party furnishing the same.
Effect on Obligations. Termination of this Agreement pursuant to this Article will terminate all obligations of the parties hereunder, provided, however, that termination pursuant to clause (b) of Section 11.1 hereof will not relieve any defaulting or breaching party from any liability to the other party hereto, and provided, further, that the provisions of this Section 11.2 and Article XII will survive termination of this Agreement.
Effect on Obligations. Termination of this Agreement pursuant to this Article 8 shall terminate all obligations of the parties hereunder; provided, however, that termination pursuant to clauses (C) or (D) of Section 8.1 shall not relieve any breaching party from any liability to the other parties hereto.
Effect on Obligations. Termination of this Agreement pursuant to this Section 9 shall terminate all obligations of the parties hereunder, except for the obligations under Sections 10(a) (with respect to expenses), 10(b) (with respect to publicity), and 5(g) (with respect to confidentiality); provided, however, that termination pursuant to subparagraphs (ii) or (iii) of Section 9(a) hereof shall not relieve the defaulting or breaching party from any liability to the other party hereto.
Effect on Obligations. Termination of this Agreement pursuant to this Article VI shall terminate all obligations of the parties hereunder, except for their obligations under Section 7.01 hereof; provided, however, that termination pursuant to clause (b) of Section 6.01 hereof shall not relieve the defaulting or breaching party from any liability to the other party hereto.
Effect on Obligations. 30 ARTICLE XI
Effect on Obligations. Termination of this Agreement pursuant to this Article XI shall terminate all rights and obligations of the parties hereunder and none of the parties shall have any liability to the other party hereunder, except that Article XIII, the Confidentiality Agreement, and the last sentence of Section 4.2(a) shall remain in effect, and provided that nothing herein shall relieve any party from liability for any breach of any covenant or agreement in this Agreement or any willful and intentional breach of a representation prior to such termination in any manner that shall have proximately contributed to the occurrence of the failure of the Closing to occur.
Effect on Obligations. Termination of this Agreement prior to Closing pursuant to Section 10.1 hereof shall terminate all obligations of the parties hereunder, except for their obligations under Section 12.9 (regarding public announcements) and Section 12.6 (regarding expenses) hereof; provided, however, that termination pursuant to Section 10.1(c) hereof by reason of a willful breach of any representations, warranties, covenants or agreements shall not relieve the willfully breaching party (whether or not it is the terminating party) from any liability to the other party hereto arising from or related to such breach.
Effect on Obligations. No such transfer shall alter or impair the obligations hereunder of Tenant or any other person constituting Tenant or holding any interest hereunder before any such Transfer.
