Common use of Effective Agreement Clause in Contracts

Effective Agreement. This Agreement and the recitals hereof shall be binding upon and inure to the benefit of and be enforceable by the respective parties hereto and their respective successors and assigns; provided, however, that neither this Agreement nor any of the rights, interests or obligations of the respective parties hereto under this Agreement may be assigned by any party hereto without the prior written consent of the other parties hereto. The representations, warranties, covenants and agreements contained in this Agreement, as well as the documents and instruments referred to herein, are for the sole benefit of the parties hereto and their successors and assigns, and they will not be construed as conferring any rights on any other Persons, except for Section 6.10 hereof.

The representations, warranties, covenants and agreements contained in this Agreement, as well as the documents and instruments referred to herein, Agreement are for the sole benefit of the parties hereto and their successors and assigns, and they will shall not be construed as conferring any rights on any other Personspersons except as specifically set forth in Sections 7.03, except for Section 6.10 7.04, and 7.06 hereof.
