Agreement Authorization. 1. If a public entity, the Contractor shall submit to CDA a copy of an approved resolution, order, or motion referencing this Agreement number authorizing execution of this Agreement. If a private nonprofit entity, the Contractor shall submit to CDA an authorization by the Board of Directors to execute this Agreement, referencing this Agreement number.

Agreement Authorization. This Warrant has been duly authorized, executed and delivered by or on behalf of the Company and constitutes the legal, valid and binding obligation of the Company enforceable in accordance with its terms.

This requirement may also be met by a single resolution from the Governing Board authorizing the entity’s Director to execute the original and all subsequent amendments to the Agreement.
Agreement Authorization. The execution, delivery and performance of this Agreement, the borrowing hereunder and the execution, delivery and performance of the other Loan Documents and the transactions contemplated hereby and thereby have been duly authorized by all requisite limited liability company action on the part of the Borrower. This Agreement has been duly executed and delivered by the Borrower and constitutes, and the other Loan Documents to which the Borrower is a party when executed and delivered will constitute, the legal, valid and binding obligations of the Borrower, enforceable against it in accordance with their respective terms.
