Poulos to be appointed to Parent's board of directors and, subject to fiduciary obligations under applicable law, shall use its best efforts to cause Xx. Xxxxxxx X. Poulos to be elected as a director of Parent at the first annual meeting of stockholders of Parent with a proxy mailing date after the Effective Time.
