Eligible Issuer and Reporting Issuer Status. The Corporation is an Eligible Issuer, and is a “reporting issuer” (as that term is defined under Canadian Securities Laws) or the equivalent in each of the provinces of British Columbia, Alberta, and Ontario, and upon receiving the Final Receipt and at the Closing Time, will be a reporting issuer or the equivalent in each of the Qualifying Jurisdictions, not in default of any requirement under Canadian Securities Laws, and not on the lists of defaulting reporting issuers maintained by the Canadian Securities Regulators.
