As at the date hereof, the Corporation is a “reporting issuer” in each of the Qualifying Jurisdictions within the meaning of the Canadian Securities Laws in such jurisdictions and is not currently in default of any requirement of the Canadian Securities Laws of such jurisdictions and the Corporation is not included on a list of defaulting reporting issuers maintained by any of the Canadian Securities Commissions;

Reporting Issuer Status. During the Initial Registration Period and any Additional Registration Period, the Company shall continue to be a “reporting issuer” or the equivalent thereof in good standing under the applicable Canadian Securities Laws in each of the provinces of Canada in which it is currently a “reporting issuer” and shall continue to be in compliance with all applicable Canadian Securities Laws in all material respects and will make all necessary filings (including, without limitation, the filing of all continuous disclosure materials) required to be filed by the Company pursuant to the Canadian Securities Laws, but will not be required to qualify the Registrable Securities for sale in Canada.
Reporting Issuer Status. The Corporation is a reporting issuer under applicable securities laws in British Columbia, Alberta, and Ontario and its Common Shares are listed for trading on the CSE. The Corporation is not in default in any material respect of any requirement under such securities laws or the rules of the CSE.
Reporting Issuer Status. The Company is a reporting issuer in each of the provinces and territories of Canada, and is not included in a list of defaulting reporting issues maintained by the relevant Governmental Entity in any such jurisdiction.
Reporting Issuer Status. (a) Valdy is a reporting issuer in the provinces of British Columbia and Alberta and is not on the list of reporting issuers in default under applicable securities Laws.
(b) The Valdy Shares are listed and posted for trading on the TSXV and Valdy is in compliance in all material respects with the rules and policies of the TSXV.
(c) Valdy is not subject to any cease trade or other order of any Governmental Entity, and, to the knowledge of Valdy, no inquiry, review or investigation (formal or informal) or other proceedings involving Valdy that may operate to prevent or restrict trading of any securities of Valdy are currently in progress or pending before any Governmental Entity, other than the trading halt of the Valdy Shares imposed in accordance with TSXV policies in connection with the public announcement of the proposed Qualifying Transaction.
Reporting Issuer Status. Travelbyus is a "reporting issuer" within the meaning of the Securities Act (Alberta), (British Columbia), (Saskatchewan), (Manitoba), (Ontario) and (Quebec) and is not in default of any requirement of applicable Laws and no material change relating to Travelbyus has occurred with respect to which the requisite material change report has not been filed and no such disclosure has been made on a confidential basis. No securities commission or similar regulatory authority has issued any order preventing or suspending trading in any securities of Travelbyus or prohibiting the issue and sale of the common shares in the capital of Travelbyus and to the knowledge of Travelbyus no such proceedings for such purposes are pending or threatened.
