Common use of Embarq Software Changes Clause in Contracts

Embarq Software Changes. (a) When Embarq plans to introduce any software changes which impact the format or content structure of the usage data feed to CLEC, designated Embarq personnel shall notify CLEC no less than ninety (90) Days before such changes are implemented. (b) Embarq shall communicate the projected changes to CLEC’s single point of contact so that potential impacts on CLEC processing can be determined. (c) CLEC personnel shall review the impact of the change on the entire control structure. CLEC shall negotiate any perceived problems with Embarq and shall arrange to have the data tested utilizing the modified software if required. (d) If it is necessary for Embarq to request changes in the schedule, content or format of usage data transmitted to CLEC, Embarq shall notify CLEC. (a) CLEC may submit a purchase order to negotiate and pay for changes in the content and format of the usage data transmitted by Embarq. (b) When the negotiated changes are to be implemented, CLEC and/or Embarq shall arrange for testing of the modified data. 74.7.1. Product/Service Specific. Embarq shall provide a Telcordia standard 42-50-01 miscellaneous charge record to support the Special Features Star Services if these features are part of Embarq’s offering and are provided for Embarq’s subscribers on a per usage basis. 74.8. Rejected Recorded Usage Data 74.8.1. Upon agreement between CLEC and Embarq, messages that cannot be rated and/or billed by CLEC may be returned to Embarq via CDN or other medium as agreed by the Parties. Returned messages shall be sent directly to Embarq in their original EMI format utilizing standard EMI return codes.
