Employee Controversies. There are no material controversies pending or, to the best of the knowledge of each Borrower, threatened or anticipated between any Borrower and any of its respective employees, and there are no labor disputes, grievances, arbitration proceedings or any strikes, work stoppages or slowdowns pending, or to any Borrower's knowledge, threatened between any Borrower and its respective employees and representatives, which in either event or which is reasonably likely to have a Material Adverse Effect.
