Common use of Employee’s Acknowledgment Clause in Contracts

Employee’s Acknowledgment. Employee acknowledges that: ------------------------- (i) the Company is and will be engaged in the Business during the Employment Period and thereafter; (ii) Employee is one of a limited number of persons who will manage the Business; (iii) Employee will occupy a position of trust and confidence with the Company after the date of this Agreement, and during the Employment Period and Employee's employment under this Agreement, Employee will become familiar with the Company's proprietary and confidential information concerning the Company and the Business; (iv) the agreements and covenants contained in this SECTION 3 are essential to protect the Company and the goodwill of the Business and are a condition precedent to the Company's entering into this Agreement; (v) Employee's employment with the Company has special, unique and extraordinary value to the Company and the Company would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and (vi) Employee has means to support himself and his dependents other than by engaging in the Business, or a business substantially similar to the Business, and the provisions of this SECTION 3 will not impair such ability.

Employee acknowledges that: -------------------------: (ia) the Company is and will be engaged in the Business during the Employment Period and thereafter; (iib) Employee is one of a limited number of persons who will manage be developing the Business; (iiic) Employee will occupy a position of trust and confidence with the Company after the date of this Agreement, and during the Employment Period such period and Employee's ’s employment under this Agreement, Employee will become familiar with the Company's ’s trade secrets and with other proprietary and confidential information concerning the Company and the Business; (ivd) the agreements and covenants contained in this SECTION 3 Article IV are essential to protect the Company and the goodwill of the Business and are a condition precedent to the Company's Company entering into this Agreement; (ve) Employee's ’s employment with the Company has special, unique and extraordinary value to the Company and the Company would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and; (vif) Employee has means to support himself and his dependents other than by engaging in the Business, or a business substantially similar to the Business, and the provisions of this SECTION 3 Article IV will not impair such ability; and (g) for purposes of this Article IV, the term “Company” shall include the Company, the Parent and any of their respective subsidiaries and affiliates.

Employee acknowledges that: -------------------------: (ia) the Company Corporation is and will be engaged in the Business during the Employment Period and thereafter; (iib) Employee is one of a limited number of persons who will manage be developing the Business; (iiic) Employee will occupy a position of trust and confidence with the Company Corporation after the date of this Agreement, and during the Employment Period such period and Employee's employment under this Agreement, Employee will become familiar with the CompanyCorporation's trade secrets and with other proprietary and confidential information concerning the Company Corporation and the Business; (ivd) the agreements and covenants contained in this SECTION 3 Article IV are essential to protect the Company Corporation and the goodwill of the Business and are a condition precedent to the Company's Corporation entering into this Agreement; (ve) Employee's employment with the Company Corporation has special, unique and extraordinary value to the Company Corporation and the Company Corporation would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and; (vif) Employee has means to support himself and his dependents other than by engaging in the Business, or a business substantially similar to the Business, and the provisions of this SECTION 3 Article IV will not impair impact such ability; and (g) For purposes of this Article IV, the term "Corporation" shall include the Corporation and any of its respective subsidiaries and affiliates.

Employee acknowledges that: ------------------------- (ia) the Company is and will be engaged in the Business business of providing professional services, in particular third party benefits administration (the "Business") during the Employment Period and thereafter; (ii) Employee is one of a limited number of persons who will manage the Business; (iiib) Employee will occupy a position of trust and confidence with the Company after the date of this AgreementAgreement and, and during the Employment Period and Employee's employment under this Agreement, Employee will become familiar with the Company's proprietary and confidential information concerning the Company and the Business; (ivc) the agreements and covenants contained in this SECTION Section 3 are essential to protect the Company and the goodwill of the Business and are a condition precedent to the Company's entering into this Agreement; (vd) Employee's employment with the Company has special, unique and extraordinary value to the Company and the Company would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and (vie) Employee has means to support himself or herself and his or her dependents other than by engaging in the Business, or a business substantially similar to the Business, and the provisions of this SECTION Section 3 will not impair such ability.

(vi) Employee has means to support himself and his dependents other than by engaging in the Business, or a business substantially similar to the Business, Business and the provisions of this SECTION Section 3 will not impair such ability.

Employee acknowledges that: -------------------------: (i) the Company is and will has made known its intention to be engaged in the Business during the Employment Period and thereafter; (ii) Employee is one of a limited number of persons who will manage the Business; (iii) Employee will occupy a position of trust and confidence with the Company after the date of this Agreement, and during the Employment Period and Employee's employment under this Agreement, Employee will become familiar with the Company's proprietary and confidential information concerning the Company and the Business; (iviii) the agreements and covenants contained in this SECTION 3 are essential to protect the Company and the goodwill of the Business and are a condition precedent to the Company's entering into this Agreement; (viv) Employee's employment with the Company has special, unique and extraordinary value to the Company and the Company would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and (viv) Employee has means to support himself herself and his her dependents other than by engaging in the Business, or a business substantially similar to Business as conducted by the BusinessCompany during the Restrictive Period, and the provisions of this SECTION 3 will not impair such ability.

Employee acknowledges that: ------------------------- (ia) the Company is and will be engaged in the business of providing professional services, in particular the Driver Controlled Insurance Business during the Employment Period and thereafter; (ii) Employee is one of a limited number of persons who will manage the Business; (iiib) Employee will occupy a position of trust and confidence with the Company after the date of this AgreementAgreement and, and during the Employment Period and Employee's employment under this Agreement, Employee will become familiar with the Company's proprietary and confidential information concerning the Company Company, the Driver Controlled Insurance Business, and the business of the BFS Group (collectively the "Business"); (ivc) the agreements and covenants contained in this SECTION Section 3 are essential to protect the Company and the goodwill of the Business and are a condition precedent to the Company's entering into this Agreement; (vd) Employee's employment with the Company has special, unique and extraordinary value to the Company and the Company would be irreparably damaged if Employee were to provide services to any person or entity in violation of the provisions of this Agreement; and (vie) Employee has means to support himself and his dependents other than by engaging in the Business, or a business substantially similar to the Businessactivities that would violate Section 3.2, and the provisions of this SECTION Section 3 will not impair such ability.
