Common use of EMPLOYEE'S EXPENSES Clause in Contracts

EMPLOYEE'S EXPENSES. All costs and expenses (including reasonable ------------------- legal, accounting and other advisory fees) incurred by the Employee to (i) defend the validity of this Agreement, (ii) contest any determinations by the Company concerning the amounts payable (or reimbursable) by the Company to the Employee under this Agreement, (iii) determine in any tax year of the Employee the tax consequences to the Employee of any amounts payable (or reimbursable) under Section 3(E) or (C) hereof, or (iv) prepare responses to an Internal Revenue Service audit of, and to otherwise defend, his personal income tax return for any year which is the subject of any such audit, or an adverse determination, administrative proceedings or civil litigation arising therefrom that is occasioned by or related to an audit by the Internal Revenue Service of the Company's income tax returns, are, upon written demand by the Employee, to be promptly advanced or reimbursed to the Employee or paid directly, on a current basis, by the Company or its successor.
