Compensation Benefits Expenses. (a) Compensation In consideration of the services to be rendered hereunder, including, without limitation, services to any Affiliated Company, Consultant shall be paid a fee of 1,000,000 shares, pursuant to the procedures regularly established, and as they may be amended, by the Company during the course of this Agreement.
(b) Benefits Other than the compensation specified in this Section 3, neither Consultant nor its Agents shall be entitled to any direct or indirect compensation for services performed hereunder.
(c) Expenses The Consultant shall be responsible for any and all expenses incurred during the term of this agreement.
Compensation Benefits Expenses. GeoWaste agrees:
(a) to pay or cause to be paid to you for your services hereunder a salary at the annual rates set forth below, so long as you continue in the employment of GeoWaste hereunder, payable in installments at least as frequently as monthly and subject to all applicable taxes and payroll deductions.
Compensation Benefits Expenses. Commencing on the Effective Date, the Partnership shall pay to you a guaranteed supplemental retirement benefit in the amount of $180,000 per year for your life. For your services to the Funds, you shall be compensated at one-half the director’s fee payable to non-affiliated directors of the Funds. In addition, during the Term, to the extent that you are requested by the Partnership to meet with clients and you agree to do so, then the Partnership shall compensate you at a rate of $100 per hour and reimburse you for your reasonable expenses in accordance with the Partnership’s policies and procedures. During the Term, any travel by you in connection with the performance of your duties hereunder or the business of the Partnership or the Funds shall be on the same basis and manner as travel by current members of the Executive Committee. In addition, during the Term, the Partnership or the Funds, as the case may be, shall reimburse you for all reasonable business–related expenses that you incur in attending board meetings in accordance with the Partnership’s or the Fund’s policies and procedures. As of the Effective Date, your participation in and contributions to all welfare, non-qualified and qualified plans of the Partnership and its affiliates shall cease. Your rights to a distribution, rollover, form of payment or deferral regarding your account balances shall be determined in accordance with terms and conditions of the respective plans. Notwithstanding the foregoing, if for any reason you cease to receive spousal dental and medical coverage under benefits provided to your husband by the Partnership, the Partnership shall provide you with comparable dental and medical benefits for life.
Compensation Benefits Expenses. In exchange for the Consultant providing consulting services during the Term, the Company shall pay the Consultant in the aggregate: (i) a fee of fifty thousand dollars ($50,000) per calendar month during the Term; and (ii) reimbursement of reasonable and necessary costs and expenses incurred by the Consultant in the performance of consulting services pursuant to this Agreement and approved by the Company, which shall be limited to amounts, and paid in accordance with the policies established by the Company from time to time. The fees paid to the Consultant under this Agreement may be modified or supplemented from time-to-time upon the mutual agreement of the parties hereto.
Compensation Benefits Expenses. As compensation and consideration for all Services provided by Employee during the Term pursuant to this Agreement, the Company agrees to pay to Employee the compensation set forth below.
Compensation Benefits Expenses. (a) As compensation for Consultant's services hereunder, the Company will pay Vendor $159,300 per year (prorated for partial years) for each year during the term of this Agreement, payable monthly in arrears or as the parties hereto may otherwise agree.
(b) The Company will reimburse Vendor for the reasonable out-of-pocket expenses incurred by Consultant at the request of the Company in the performance of his duties hereunder and such other expenses as may be approved by the Company, in each case upon presentation to the Company of an itemized accounting of such expenses with reasonable supporting data. A.
Compensation Benefits Expenses a. As compensation for all of the Services required to be rendered to Company by Consultant during the Term, Company shall pay Consultant a fee of Ten Thousand Dollars ($10,000.00) per month (the "Consulting Fee"). The Consulting Fee shall be paid by Company to Consultant on the first business day of each month in arrears throughout the Term or, at the option of Company, may be prepaid for any number of months. In connection with any Project Proposed by Consultant pursuant to Paragraph 4.c. and 4.d. hereof, and developed by the Company pursuant to such Proposal, including, without limitation, Projects (i) currently owned and/or controlled by Company and listed on Schedule "A" and (ii) to be acquired (to the extent not already owned and/or controlled by Company) and/or accepted for development by Company, Consultant shall be engaged as a producer (if a theatrical or direct-to-video motion picture) or an executive producer (if a television motion picture or series) with respect to each such Project in accordance with terms and conditions (other than terms and conditions related to Consultant's compensation and credit which are addressed below) customary in the motion picture industry for a person of Consultant's stature (e.g., taking into account Consultant's then current deals), Consultant shall be accorded on-screen and paid ad credit as a producer of each such Project developed as a theatrical or direct-to-video motion picture and as an executive producer of each such Project developed as a television motion picture or series and Company shall pay to Consultant such additional compensation as may be agreed upon by the parties after good faith negotiation, but, except for (i) Projects currently owned and/or controlled by the Company and listed on Schedule "A" (the "Schedule A Projects") and (ii) the Projects referred to in Paragraph 4.e., in no event less than the following:
i. A fixed producer fee equal to the amount that is 4% of the final budget for the applicable motion picture (but in no event shall such fixed fee be less than $25,000); and
ii. A contingent fee as follows:
A. 2 1 2% of 100% of all gross receipts after initial breakeven, initial breakeven to be determined based on a 20% distribution fee notwithstanding that a higher fee applies;
Compensation Benefits Expenses. KW-A shall be entitled to compensation for services provided hereunder as follows:
(a) So long as the Members render the services pursuant to this Agreement, KWS shall pay, as full and complete compensation for the services of the Members provided to KWS pursuant to this Agreement, the following compensation; All sums due to Member and Substitute Member pursuant to his Employment Agreement, in a timely fashion.
(b) KWS shall fund the cost of all benefit plans including but not limited to pension, profit sharing, deferred compensation, group insurance or other health and welfare plans in an amount consistent with the positions and duties occupied by the Members, but only as to those that KWS in its absolute discretion makes available generally to its officers, but KWI will not be required to establish or maintain any qualified benefit plan which provides to any of its Members any benefit which is in excess of the benefits made available under such plans generally to employees of KWI and its subsidiaries.
(c) KWS shall pay to KW-A an amount equal to the "employer's share of payroll taxes" as that term is commonly defined, but KWS shall not include the Members in its payroll reporting to federal, state or local governments. KW-A covenants that it shall pay all compensation paid to the Members as employees. KW-A and the Members shall hold KWs harmless from any and all liabilities, damages, costs, expenses including attorneys' and accountants' fees, penalties, interest and all other charges incurred by KWI as a result of the failure by KW-A to comply with the covenants and agreements contained in this sub section, unless such failure is due to KWS not funding their obligation hereunder.
(d) KWS shall pay the cost of all business expenses incurred by the Members in connection with and pursuant to their duties on behalf of KWS, limited to amounts consistent with the policies established by KWS from time to time.
Compensation Benefits Expenses. The Vestry will provide the Priest in Charge with: Total Clergy Compensation of $ [insert amount here], to be paid in equal installments, made up of the following components:
a. An annualized allowance for housing and utilities in an amount to be designated by the Priest in Charge prior to the beginning of work and then prior to the beginning of each calendar year; and the Vestry shall adopt annually a resolution specifying such amount to be a Parsonage Allowance within the meaning of §107 of the Internal Revenue Code of 1986 (as amended).
b. A cash payment equal to one-half the amount of the Priest in Charge’s self-employment tax, to wit: $ [insert amount here]
c. The balance as a cash stipend.
