Employee’s Warranties. Throughout the term of this agreement and for a period of one (1) year thereafter, the Employee agrees he will not, without obtaining Company’s prior written consent, directly or indirectly engage or prepare to engage in any activity in competition with any Company business or product, including products in the development stage, accept employment or provide services to (including service as a member of a board of directors), or establish a business in competition with Company.

Employee’s Warranties. 6.1. The Executive acknowledges that the Company enters into this Agreement in reliance on the warranties set out in this clause 6.
Employee’s Warranties. Employee warrants that he has full power and authority to enter into this Agreement and that such act, and the performance of his obligations hereunder, will not conflict with any other agreements or undertakings to which he is a party or to which he is bound, or give rise to any claim or proceeding against the Corporation, and that he will fully indemnify the Corporation and hold it harmless from and against any and all such claims, charges or liabilities, including reasonable attorneys' fees, incurred by the Corporation in connection therewith.

Employee’s Warranties a. The Employee acknowledges that the Employer enters into this Agreement in reliance on the warranties set out in this clause 8.1.
Employee’s Warranties. Employee warrants that his/her performance of this Agreement’s terms, and any services to be rendered as an ASC employee, do not and shall not breach any fiduciary or other duty or any covenant, agreement or understanding, including any agreement relating to any proprietary information, knowledge or data acquired by Employee in confidence or trust, prior to Employee’s employment by ASC, to which Employee is a party or by the terms of which Employee may be bound. Employee shall not disclose to ASC or its clients, or induce ASC to use, any such proprietary information, knowledge, or data belonging to any previous employer without such previous employer’s permission. Employee will disclose to ASC, as much as Employee is permitted to do, the terms and subject of any prior confidentiality, non-competition or invention agreement or agreements to which Employee is bound.
Employee’s Warranties. 29.1. You hereby warrant that by virtue of entering into this Agreement you will not be in breach of any express or implied terms of any Court order, contract or any other obligation legally binding upon you.
Employee’s Warranties. 5.1 The Employee warrants that he has instructed his solicitor who has signed this Agreement on whether he has or may have any Claim against the Company or any Group Company (or any of their respective officers or employees) arising out of his employment with or the termination of his employment with the Company and has provided his solicitor with all relevant information to enable his solicitor to advise on whether he has or may have any such Claim.
