Knowledge and Belief definition

Knowledge and Belief means with respect to any Person, means such Person’s actual knowledge and belief after appropriate due diligence and reasonable inquiry by such Person and includes any information such Person should have known based on appropriate due diligence and reasonable inquiry by such Person.
Knowledge and Belief means actual knowledge without independent investigation and, with respect to any corporation, partnership, company or other entity, shall include the knowledge of such entity's officers, directors and managers with responsibility over the relevant subject matter.
Knowledge and Belief means with respect to any Person, such Person’s actual knowledge and belief after appropriate due diligence and reasonable inquiry by such Person and includes any information such Person should have known based on appropriate due diligence and reasonable inquiry by such Person.

  • To the best of Seller’s Knowledge and Belief, the Real Property is adequately serviced by all utilities necessary for effective operation as presently used for a financial institution office.

  • Except for any matter contained in the Disclosure Statement, the Stockholder represents and warrants to the best of his Knowledge and Belief to the Buyer that the statements contained in this Article 2 are correct and complete as of the date of this Agreement and will be correct and complete as of the Closing Date.

More Definitions of Knowledge and Belief

Knowledge and Belief means (a) in the case of an Oil and Gas Property operated by KCS Medallion, the knowledge of the highest ranking field personnel of KCS Medallion assigned to such Property and (b) in the case of an Oil and Gas Property of KCS Medallion that is not operated by KCS Medallion, the knowledge of an operations manager having responsibility for such Property.
