Employment and Noncompetition Arrangements. Each of the Founders shall have accepted an oral offer of employment with Amazxx.xxx xxx the Founders shall have executed the Amazxx.xxx xxxndard form of Confidentiality, Noncompetition and Invention Assignment Agreement substantially in the form attached hereto as Exhibit 4.14.
Employment and Noncompetition Arrangements. Each of the Company's employees set forth on Schedule 4.15 shall have accepted an oral offer of employment with Amazxx.xxx xxx executed the Amazxx.xxx xxxndard form of Confidentiality, Noncompetition and Invention Agreement substantially in the form attached hereto as Exhibit 4.15.
Employment and Noncompetition Arrangements. All employees of IntelliPrep as of the date hereof shall have executed Click2learn's standard form of Confidentiality, Noncompetition and Inventions Agreement and those Employees of the Company identified on Exhibit 4.14 as Key Employees by Click2learn shall have accepted employment with Click2learn.
Employment and Noncompetition Arrangements. The Company shall have entered into employment and/or noncompetition arrangements with certain key members of management in form and substance satisfactory to the Purchaser, including employment agreements with each of John X. Xxxx, XXI and Stuaxx X. Xxxx, xxd such employment and/or noncompetition arrangements shall be in full force and effect as of the Closing and shall not have been amended or modified.

More than 66.7% of the Central Employees (determined on the basis of the percentage values assigned to each Central Employee as set forth in Exhibit 1.7.3) shall have accepted the offer of employment pursuant to Section 6.13 and shall have executed Amazxx.xxx'x xtandard form of Confidentiality, Noncompetition and Invention Assignment Agreement, in the form attached hereto as Exhibit 4.12.
Employment and Noncompetition Arrangements. All employees of the Company as of the date hereof shall have executed Parent's standard form of Confidentiality, Noncompetition and Inventions Agreement and those Employees of the Company identified on Exhibit 4.13 as Key Employees by Parent shall have accepted employment with Parent.

All of the Key Employees shall have accepted employment with the Company and shall have entered into Employment Agreements and Noncompetition Agreements reasonably satisfactory to Parent and no such employee shall have indicated his or her desire not to be employed by the Company or any other direct or indirect subsidiary of Parent designated in writing by Parent.
Employment and Noncompetition Arrangements. (a) The employees of the Company listed on Disclosure Schedule 6.10(a) shall not have revoked the offer letters, noncompetition agreements and/or other related agreements (as set forth on such Disclosure Schedule) entered into with Parent or the Company (or Parent’s designee) on or prior to the date of this Agreement.

Xxxxx Xxxxxxx and the other employees of the Company selected by Parent shall have agreed to employment and compensation terms with Parent satisfactory to Parent in its sole discretion and shall have executed Parent’s standard employee confidential information, invention assignment, noncompetition and nonsolicitation agreement.
Employment and Noncompetition Arrangements. Each of the employees listed on Schedule 8.9 shall have executed a letter agreement, in form satisfactory to Buyer and shall have executed Buyer's standard form of Confidentiality, Noncompetition and Invention Assignment Agreement and each such letter and agreement shall remain in full force and effect on the Closing Date.
