Common use of Employment, Duties and Agreements Clause in Contracts

Employment, Duties and Agreements. (a) The Company hereby agrees to employ the Executive as its Executive Vice President and General Counsel, and the Executive hereby accepts such position and agrees to serve the Company in such capacity during the employment period fixed by Section 3 hereof (the “Employment Period”). The Executive shall report to the Chief Executive Officer of the Company or its designee and shall have such duties and responsibilities as are consistent with the Executive’s position. During the Employment Period, the Executive shall be subject to, and shall act in accordance with, all reasonable instructions and directions, and all applicable policies and rules, of the Company, including without limitation any policy with respect to equity hedging. The Executive’s principal work location shall be at the Company’s offices in Birmingham, Alabama or such other location as the Executive and the Company shall mutually agree, (hereinafter the “Principal Place of Business”) provided that the Executive may be required to travel as necessary in order to perform his duties and responsibilities hereunder.
