Duties and Obligations of Employee. Employee shall serve as Chief -------------------------------------- Financial Officer (CFO). Employee shall report to Chief Executive Officer or other individual designated by the Board of Directors of the Company. Employee shall faithfully and diligently perform all professional duties and acts as may be requested and required of Employee by Company or its Directors. Employee shall devote such time and attention to the business of Company as shall be required to perform the required services and duties. Employee at all times during his or her employment with Company shall strictly adhere to and obey all policies, rules and regulations established from time to time governing the conduct of employees of Company
Duties and Obligations of Employee. General Duties
Section 2.01. Employee shall serve as President and Chief Executive Officer of Employer. In his capacity as President and Chief Executive Officer of Employer, Employee shall do and perform all services, acts, or things necessary or advisable to manage and conduct the business of Employer, including but not limited to the hiring and firing of all employees, negotiating and entering into contracts, obtaining financing for Employer, signing on bank accounts, and engaging attorneys, accountants and other professionals to perform necessary services for the Employer. Devotion to Employer's Business
(a) Employee shall devote such portion of his productive time, ability, and attention to the business of Employer as is reasonably necessary to satisfy Employee's obligations pursuant to this agreement during the term of this agreement.
(b) Provided Employee satisfies his obligations to Employer pursuant to this agreement, Employee may engage in other business duties or pursuits, and may directly or indirectly render services of a business, commercial, or professional nature to other persons or organizations, whether for compensation or otherwise, without the prior written consent of Employer's Board of Directors; provided, however, that Employee must obtain the prior written consent of Employer's Board of Directors before becoming an officer, director, or principal shareholder of any business which competes directly with Employer, and such consent may be withheld at the sole discretion of Employer's Board of Directors. Moreover, the expenditure of reasonable amounts of time for educational, charitable, or professional activities shall not be deemed a breach of this agreement if those activities do not materially interfere with the services required under this agreement and shall not require the prior written consent of Employer's Board of Directors).
(c) This agreement shall not prohibit Employee from making passive personal investments or conducting private business affairs if those activities do not materially interfere with the services required under this agreement. However, Employee shall not directly or indirectly acquire, hold, or retain any interest in any business competing with or similar in nature to the business of Employer without the prior written consent of Employer's Board of Directors.
Duties and Obligations of Employee. The Employee shall serve as the Chief Credit Officer of the Employer and shall perform the customary duties of such office in the commercial banking industry, including those listed below. Employee shall also perform such other duties and in such other positions as are requested of him by the Employer.
(a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Chief Executive Officer of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Chief Executive Officer.
(b) Participating in community affairs which are beneficial to the Employer.
(c) Maintaining a good relationship with the Board of Director, the Chief Executive Officer, the management officers and the shareholders of the Employer.
(d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its related and affiliated entities.
Duties and Obligations of Employee. Employee shall serve as the Chief Executive Officer of the Employer pursuant to this Agreement and shall perform the customary duties of each such office in the commercial banking industry as may from time to time be reasonably requested of him by the Board of Directors of the Employer including the following:
(a) Providing leadership in planning and implementing the conduct of the business and affairs of the Employer, subject to the direction of the Board of Directors of the Employer, and carrying out responsibilities of the position as outlined in any job description approved by the Board of Directors of the Employer;
(b) Participating in community affairs which are beneficial to the Employer;
(c) Maintaining a good relationship with the Board of Directors of the Employer, its management officers and shareholders;
(d) Maintaining a good relationship with regulatory agencies and governmental authorities having jurisdiction over the Employer and its subsidiaries;
(e) Acting as a member of the Board of Directors of the Employer and of its subsidiaries and all committees of the respective Boards of Directors to which the Employee may be appointed or elected; and
Duties and Obligations of Employee. Employee currently works at will for the City as its Deputy City Manager/Development Services (hereinafter referred to as “Position”). Employee hereby agrees to perform the duties of the Position as set forth in the City’s Municipal Code, Rules, Regulations, and Policies, and to perform such other duties as assigned by the City Manager. It is expressly understood that the terms of this Agreement, including but not limited to those governing termination of employment, supersede any rights conferred by City Ordinance, Rule, Regulation or Policy.

Duties and Obligations of Employee. Section 2.1. General Job Responsibilities. Employee is being hired for the position of Chief Executive Officer for the Employer. Employee shall report directly to Employer’s Board of Directors. In that capacity, Employee shall be responsible for performing those duties for the Company consistent with the position of Chief Executive Officer of a company and as may from time to time be reasonably assigned to or requested of Employee by the Company’s Board of Directors. Employee shall use his reasonable efforts to perform faithfully and effectively such responsibilities. Employee shall conduct all of his activities in a manner so as to maintain and promote the business and reputation of the Company.
Duties and Obligations of Employee. Employee currently works at will for the City as its Chief of Police (hereinafter referred to as “Position”). Employee hereby agrees to perform the duties of the Position as set forth in the City’s Municipal Code, Rules, Regulations, and Policies, and to perform such other duties as assigned by the City Manager. In such capacity, Employee shall do and perform all services, acts, or things necessary or advisable as Corporate Controller of the Company, subject at all times to all present and future policies and requirements of the Company in connection with Company's business. Employee shall perform all services required hereunder to the best of his/her ability.
Duties and Obligations of Employee. 2.1 GROOM shall serve as President of ACC. In that capacity, he shall do and perform all services, acts and things necessary or advisable to fulfill his duties, including but not limited to the planning, direction and implementation of worldwide operations for ACC. GROOM shall at all times be subject to the direction of the policies established by the Board of Directors of ACC.
2.2 GROOM agrees that he shall devote his entire productive time, ability and attention to the business of ACC during the term of this agreement, and shall not act in any commercial or professional capacity of any other person or organization whether for compensation or otherwise without the express written consent of ACC.
2.3 The parties acknowledge and agree that during the term of this agreement and in the course of his duties at ACC, GROOM shall have access to and become acquainted with information which is confidential and could be constituted as ACC's trade secrets. GROOM agrees that during and after the term of this Agreement, GROOM will not, directly or indirectly, disclose to any third party, or use or authorize any third party to use, any information relating to the business or interests of ACC that GROOM knows or has reason to know is regarded as confidential and valuable to ACC. GROOM acknowledges that such confidential information constitutes "trade secrets" of ACC as set forth in Section 3126 of the California Civil Code which shall include, without limitation, all methods, processes, formulae, compositions, inventions, machines, computer programs, research projects, customer lists, pricing data, sources of supply, marketing, production, merchandising systems or plans associated with ACC's business and all information delivered to ACC or GROOM in confidence by ACC's clients and customers. GROOM agrees to use his best efforts and the utmost diligence to guard and protect such trade secrets and confidential information. The parties acknowledge and agree that in determining whether information is confidential information and/or a trade secret (as defined herein), the fact that such information is not marked "confidential" shall not adversely affect the confidentiality or trade secret status of the same. GROOM agrees that if his relationship with ACC is terminated for any reason, GROOM will return to ACC all records and papers and all matter of whatever nature which bears secret or confidential information of ACC.
