The Employment Services clause defines the scope and nature of services that an employee is expected to provide to an employer. Employment Services. The Company shall employ the Executive, and the Executive agrees to be so employed, in the capacity of the Chief Executive Officer and President of the Company to serve for the Term hereof, subject to earlier termination as hereinafter provided. The Executive shall assume and discharge such duties and responsibilities as are commensurate with the Executive’s position. The Executive shall be a full-time employee of the Company and shall exert his best efforts and devote substantially all of his business time and attention to the Company’s affairs and the performance of his duties hereunder.
Employment Services. The Company hereby agrees to engage Executive, and Executive hereby agrees to perform services for the Company, on the terms and conditions set forth in this Agreement. During the Employment Period (as defined below), the Company and Executive agree that Executive will serve as an executive officer of the Company in the position of Vice President, Natural Products Chemistry with the duties, responsibilities and authority as set forth on Schedule A, or will have such other executive title and such other executive duties, responsibilities and authority as Executive and the Company may agree upon from time to time, and will perform such services of an executive and administrative character to the Company and its present or future Subsidiaries consistent with the duties of the Company's other executive officers, as the Company's Board of Directors (the "Board") may from time to time direct (the "Employment Services") or the Bylaws of the Company may provide. The Employment Services shall commence upon the Effective Date of this Agreement and terminate as provided in Paragraph 6 (the "Employment Period").
Employment Services. (a) Employee is hereby employed by Company, and Employee hereby accepts such employment, upon the terms and conditions hereinafter set forth. Employee shall serve as Chief Marketing Officer and Brand Bear throughout the Employment Period, and agrees to do so on a full-time basis. Employee shall carry out such duties as are assigned to her by Company’s Chief Executive Officer.
(b) Employee agrees that throughout Employee’s employment with Company, Employee will (i) faithfully render such services as may be delegated reasonably to Employee by Company, (ii) devote substantially all of Employee’s entire business time, good faith, best efforts, ability, skill and attention to Company’s business, and (iii) follow and act in accordance with all of the rules, policies and procedures of Company which are applicable to its senior executives, including but not limited to working hours, sales and promotion policies, and specific Company rules.
Employment Services. The Corporation hereby engages the Executive to perform the services described in Schedule A attached hereto and the Executive agrees to provide such services on the terms and conditions as herein provided. This Agreement supersedes all existing oral or written agreements between the Corporation and the Executive.
Employment Services. ARTICLE 1 - Definitions Applicable to this Part I
Employment Services. The Employee shall devote appropriate working time and effort to promote the business and affairs of the Company and its Affiliates as necessary in order to enable them to achieve their business objectives. The Employee's principal assignment shall be to serve as President and CEO, reporting to the Board of Directors of Smart Kids Group Inc. In this capacity as an executive of the company, the Employee shall be responsible for and shall also perform other duties and assignments, which are consistent with his responsibilities, which may be reasonably assigned to him from time to time by the Board of Directors. Nothing in this Section (1.2) shall be deemed to prevent the Employee from:
A. Investing his assets in a manner not prohibited by Section 2.5 hereof, and in such form or manner as shall not require any material services on his part in the operations or affairs of the companies or other entities in which such investments are made;
B. Serving on the board of directors of any other company, subject to the prohibitions set forth in Section 2.5 hereof, provided the Board of Directors of the Company shall have approved such service in writing, or;
C. Engaging in religious, charitable or other community or non-profit activities, which do not impair his ability to fulfill his duties and responsibilities under this Agreement.
Employment Services. (a) During the Employment Period (as defined below), the Company agrees to employ Executive, and Executive agrees to serve the Company, in Executive’s present capacity as President and Chief Operating Officer of the Company or in another executive capacity with responsibilities substantially equivalent to Executive’s present responsibilities. Executive will devote substantially his entire business time and best efforts during the Employment Period to the performance of his duties, as now or hereafter prescribed by the Company’s By-Laws or assigned by the Board of Directors of the Company (the “Board”) or the Chief Executive Officer of the Company, including service in his present offices or other offices with the Company and its subsidiary and associated companies to which he is or hereafter may be elected or appointed; provided, however, that without the consent of Executive, Executive may not be required to regularly perform his duties at any location that is more than twenty-five (25) miles from the present principal executive offices of the Company.
(b) Executive shall not, during the Employment Period, become or serve as a director, officer, employee or member of any entity conducting, nor become an owner of any substantial interest in any entity conducting, a business in substantial competition with the Company’s business.
Employment Services. 1.1 Employee agrees that throughout Employee's employment with Company, Employee will (i) faithfully render such services as may be delegated to Employee by Company, (ii) devote Employee's entire business time, good faith, best efforts, ability, skill and attention to Company's business, and (iii) follow and act in accordance with all of Company's rules, policies and procedures of Company, including, but not limited to, working hours, sales and promotion policies and specific Company rules.

During the Employment Period (as defined below), Executive shall serve as Chief Financial Officer of the Company. Executive shall report directly to the Chief Executive Officer of the Company.
(b) Executive and the Company agree that, throughout the Employment Period, Executive shall have such authorities, duties and responsibilities as are customarily assigned to the Chief Financial Officer of an enterprise like the Company. Such duties, responsibilities, and authorities shall include, without limitation, but subject to the authority and directions of the Board, responsibility for the management, operation, strategic direction, budgeting, reporting, and overall conduct of the accounting and financial areas of the Company. During the Employment Period, the Executive shall devote substantially his full business time and best efforts to the business of the Company.
Employment Services. Employer hereby employs Executive, and Executive hereby accepts employment as Chief Executive Officer of the Company, reporting to the Board of Directors of the Company, all upon and subject to the terms and conditions herein set forth. For purposes of this Agreement, the term “Company” will be deemed to mean the Company and its subsidiaries or affiliates.
