Activities and Duties During Employment. Executive represents and warrants to the Company that he is free to engage in full-time employment with the Company, and that he has no prior or other commitments or obligations of any kind to anyone else which would hinder or interfere with his acceptance of his obligations under this Agreement, or the exercise of his reasonable commercial efforts as an employee of the Company. During the Employment Term (as defined below), Executive agrees: (a) to faithfully serve and further the interests of the Company in every lawful way, giving honest, diligent, loyal and cooperative service to the Company and its Affiliates; (b) to comply with all reasonable rules and policies which are consistent with the terms of this Agreement and which, from time to time, may be adopted by the Company or its Affiliates; and (c) to devote all of his business time, attention and efforts to the faithful and diligent performance of his services to the Company and its Affiliates.

Activities and Duties During Employment. Employee represents and warrants to the Company that Employee is free to accept employment with the Company and that Employee has no prior or other commitments or obligations of any kind to anyone else which would hinder or interfere with the acceptance and performance of the obligations under this Agreement. Employee accepts the employment described in Article I of this Agreement and agrees to devote his exclusive full time and efforts to the faithful and diligent performance of the services described herein, including the performance of such other services and responsibilities as the Company may, from time to time, stipulate. Notwithstanding the foregoing, Employee may: (i) serve on the board of directors of other entities or serve in any capacity with any hobby, avocation, civic, educational, religious, professional or charitable activity or organization provided that such service does not materially interfere or conflict with his duties hereunder; and (ii) make and manage personal investments of his choice. Employee shall comply with and be bound by the Company’s operating policies, procedures and practices in effect from time to time during the terms of his employment.

Activities and Duties During Employment. (a) Executive shall conduct himself, both professionally and personally, with due regard to public conventions and morals, and in a manner that will not have a materially adverse effect on the reputation of the Company or Executive. Executive shall devote Executive’s full business time, attention, skill and energy to the business and affairs of the Company and its subsidiaries, and shall use Executive’s reasonable best efforts to faithfully perform Executive’s responsibilities in a diligent, trustworthy, efficient and businesslike manner so as to advance the best interests of the Company. Notwithstanding the foregoing, Executive shall be permitted to devote a reasonable amount of time and effort to (i) serving on governing boards of or otherwise assisting civic and charitable organizations, and (ii) investing and managing personal and family investments, but only to the extent that activities described in clauses (i) or (ii), individually or as a whole, do not (A) involve Executive’s active participation in the management of any corporation, partnership or other business entity, (B) involve an ownership interest in any customer or vendor of the Company unless approved in advance by written resolution of the Board, (C) interfere with the Executive’s duties to the Company in any material respect, or (D) otherwise violate any provision of this Agreement in any material respect. Executive shall not have any ownership interest in any customer or vendor of Parent the Company or any of their subsidiaries unless approved in advance by written resolution of the Board. (b) Executive shall comply in all material respects with all applicable laws, and all written policies, rules and regulations of the Company, including without limitation codes of conduct and any charter of the Board or any compensation committee of the Board (the “Committee”), as applicable.

Once the budget is approved, Executive shall be responsible for adhering to the constraints of the budget, at least with respect to the expense side of the budget, and periodically re-forecasting the fiscal year’s projected results as requested by the Board. Executive shall timely deliver monthly executive reports to the Board based on deadlines reasonably established by the Board. (c) Executive shall comply in all material respects with all applicable laws, and all written policies, rules and regulations of the Company, including without limitation codes of conduct and any charter of the Board or any compensation committee of the Board (the “Committee”), as applicable. Additionally, and without limiting the foregoing, Executive shall be responsible for ensuring that: (i) no equity or rights to equity in the Company shall be issued, offered or granted without the express written approval of the Committee or Board and within the parameters of any approval matrix adopted by them; (ii)...

Notwithstanding the generality of the foregoing paragraph, during the Employment Term, Executive shall be permitted to (i) manage Executive’s personal investments, (ii) serve such civic, community, charitable, educational, or religious organizations as Executive may select, and (iii) with the prior written consent of the Board of Directors of the Company (the “Board”) (not to be unreasonably withheld), serve on the board of directors of other for-profit entities, in each case, so long as such other actions do not materially interfere with Executive's ability to discharge his duties and responsibilities to the Company and provided such actions do not create a business conflict or otherwise violate Executive's duties and obligations hereunder or otherwise.

During the Employment Term (as defined below), Executive agrees: 1. To faithfully serve and further the interests of LORECOM in every lawful way, giving honest, diligent, loyal and cooperative service to LORECOM; 2. To devote all necessary business time, attention and efforts to the faithful and diligent performance of his services to LORECOM and its Affiliates, excluding periods of vacation and sick leave; provided that LORECOM acknowledges that the Executive may have a continuing operational involvement in a pre-existing venture so long as such operational involvement does not materially interfere with the performance of Executive's duties under this Agreement; provided further, it is understood that Executive's obligations to LORECOM shall have priority. Notwithstanding the foregoing, Executive may: (i) serve on the board of directors of other entities or serve in any capacity with any civic, educational, professional or charitable organization provided that such service does not materially interfere or conflict with his duties hereunder; and (ii) make and manage personal investments of his choice.
