Common use of Employment Termination Date Clause in Contracts

Employment Termination Date. The “Employment Termination Date”, whether occurring before or after a change of control of Employer, shall be as follows: (i) if Executive’s employment is terminated by his death, the date of his death; (ii) if Executive’s employment is terminated by Employer because of his Inability to Perform the date specified in the Notice of Termination, which date shall be no earlier than the date such notice is given; (iii) if Executive’s employment is terminated by Employer for Cause, the date specified in the Notice of Termination, which date shall not be earlier than the last day of the Correction Period (if applicable); (iv) if Executive’s employment is terminated by Executive for Good Reason, the last day of Employer’s remedy period, which date shall be 30 days after the date on which the Notice of Termination is given in accordance with Paragraph 6(d); (v) if the termination is under Paragraph 6(e), the date specified in the Notice of Termination, which date shall be no earlier than 30 days after the date such notice is given; or (vi) if Executive’s employment is terminated by expiration of the Employment Term, the date the Employment Term expires.
