End User Requirements. 4.6.1 The Supplier shall ensure that the Online Programme Management Tool has the following End User functionality:
4.6.1.1 The provision of a transactions log which provides End Users with visibility of every transaction they have made using the ePurchasing Card Solution.
4.6.1.2 Accessibility to view and download monthly statements that list every transaction made by the End User using the ePurchasing Card Solution in each Month including details of any charges levied during the period in accordance with Framework Schedule 3 (Charging Structure).
End User Requirements to Use the Service
End User Requirements. Customer agrees to require its Clients and End-Users to comply with terms and conditions in substance identical to those in Paragraph 4 and Paragraph 9. Customer shall defend, indemnify, and hold harmless Provider against any third-party claims arising out of or relating to any use of Provider’s Services, including claims resulting from use of the Provider Services by Customer and its Clients and End-Users. This includes damages resulting from loss of data due to delays, non-deliveries, mis-deliveries, or service interruptions or a violation of a third party’s intellectual property rights. Use of any information obtained via the dial-up Internet service is at the user’s own risk.
End User Requirements. End User’s use of the Service is dependent on the type of license purchased (e.g., Devices, seats, Individuals, etc.), as identified in an applicable Quote, and as further described in Webroot’s Licensing Definitions and Guidelines Supplement, which is currently available at xxxx://xxx.xxxxxxx.xxx/us/en/company/about/licensing-definition-guidelines for the English language version and other URLs provided by Webroot for other language versions (the “Supplement”). THE DEFINITIONS IN THE SUPPLEMENT CONTROL OVER ANY CONFLICTING DEFINITIONS PROVIDED TO END USER BY A DISTRIBUTOR OR RESELLER. End User must comply with all terms and restrictions set forth in a Quote, as supplemented by the Supplement.
End User Requirements. On a case-by-case basis, Sprint shall negotiate, in good faith, with the Company to satisfy any specific end-user requirements relating to the Services, including, but not limited to, the use of an alternate carrier in connection with an end-user's need for redundancy, route diversity or emergency backup.
End User Requirements a) The End User WILL NOT remove, modify, or obscure any copyright, trademark, or other proprietary rights notices that are contained in or on the Microsoft Products;
b) The End User WILL NOT reverse engineer, decompile, or disassemble the Microsoft Products, except to the extent that such activity is expressly permitted by applicable law;
c) THE END USER ACKNOWLEDGES AND AGREES THAT MICROSOFT DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL WARRANTIES WITH RESPECT TO THE MICROSOFT PRODUCTS, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY OR OF FITNESS FOR A PARTICULAR PURPOSE, AND THAT NEITHER MICROSOFT NOR ITS SUPPLIERS SHALL HAVE ANY LIABILITY FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, OR CONSEQUENTIAL, ARISING FROM THE PROVISION OF ACCESS TO THE MICROSOFT PRODUCTS BY LISS;
d) LISS, not Microsoft or its suppliers, will provide technical support services to the End User;
e) End user WILL NOT engage in any unauthorized manufacture, copying, reproduction, distribution, installation, access, modification or use of any Microsoft Products, or otherwise engage in the infringement of or interference with Microsoft’s intellectual property rights;
f) The End User agrees that LISS may, at the request of Microsoft, disclose to Microsoft information concerning the End User reasonably required by Microsoft to maintain records concerning the licensing of its products including, without limitation, End User’s name and address, the number of licenses or user ID’s issued, and the number of servers, computers or devices on which the Microsoft Products are installed;
g) No High Risk Use. The Microsoft Products are not fault-tolerant and are not guaranteed to be error free or to operate uninterrupted. The End User may not use the Microsoft Products in any application or situation where the Microsoft Product(s) failure could lead to death, or serious bodily injury of any person, or to severe physical or environmental damage (“High Risk Use”). Examples of High Risk Use include, but are not limited to: aircraft or other modes of human mass transportation, nuclear or chemical facilities, life support systems, implantable medical equipment, motor vehicles, or weaponry systems. High Risk use does not include utilization of Microsoft Products for administrative purposes, to store configuration data, engineering and/or configuration tools, or other non-control applications, the failure of which would not result in death, personal injury, or se...
End User Requirements a. The Service requires an active Internet connection in order for the Software to communicate with one or more of Webroot’s hosted databases ("Webroot Databases"). Certain features and functionality, including, without limitation, scanning programs and URLs for threats and receiving threat removal instructions, may not work if End User does not have an active Internet connection. In addition, Mobile Software may not work if End User does not have SMS functionality. The Software also may send certain Personal Data to the Webroot Databases for the purposes described herein and in Webroot’s Privacy Statements.
b. END USER IS SOLELY RESPONSIBLE FOR MAINTAINING ITS OWN INTERNET AND DATA CONNECTIONS AND SMS FUNCTIONALITY. END USER ACKNOWLEDGES THAT THE WEBROOT DATABASES AND OTHER COMPONENTS OF THE SERVICE THAT ARE ACCESSED OR USED THROUGH INTERNET CONNECTIONS OR VIA SMS FUNCTIONALITY MAY BE SUBJECT TO END USER’S INTERNET SERVICE PROVIDER'S AND TELEPHONE SERVICE PROVIDER’S FEES AND DOWNTIME FROM TIME TO TIME.
c. As between End User and Webroot, Webroot has and will retain sole control over the operation, provision, maintenance, and management of the Service, including: (1) Webroot’s software, hardware, servers, databases, systems, and infrastructure; (2) the location(s) where the Service is performed, including in the United States, in countries outside the United States, or outside the borders of the country in which End User or End User’s systems are located; and (3) the performance of any support services and any maintenance, upgrades, corrections, and repairs. Notwithstanding the foregoing, End User may select certain settings, configured through the Webroot Console, to best meet certain demands of its technical infrastructure.
End User Requirements. Identification of users is prior to any development and must comply with the legislation and organisation normal procedures. • Informed consent form signed by the CR or relative in charge.
End User Requirements. (a) Company must advise the End User that the Final Software Image may only be installed onto additional units of the same model of Migration System if:
(i) Company elects to provide the End User with only a single copy of the Final Software Image on external media for installation on more than one Migration System, or
(ii) End User installs the Final Software Image via the End User’s internal network.
(b) Company shall establish a commercially reasonable procedure to ensure End Users do not concurrently use both the Final Software and the Prior Software on the Migration Systems. Without limitation of the foregoing requirement, Company shall require the End User to destroy the Image containing the Prior Software and to erase any and all copies of the Prior Software after the installation of the Image containing the Final Software on the Migration System. Prior Software must be removed from the Migration System on or before the end of the Migration Period.
End User Requirements. (i) Distributor will distribute, and will ensure that its Partners distribute, the Software under the Adobe end user license agreement (available at xxxx://xxx.xxxxx.xxx/go/terms or successor website hereto) accompanying the Software.
(ii) If the Software offers or displays such agreement as a part of its installation, Distributor will not configure the Software to avoid such offer or display.
(iii) Distributor shall not make any warranty, express or implied, on behalf of Adobe.
